“Form 990 review process room to read's form 990 undergoes a number of internal and external reviews prior to being filed with the irs. The return is prepared by room to read's public accounting firm, grant thornton llp, and reviewed by room to read's accounting department, ceo, and cfo. Then copies of the form 990 are provided to the audit committee and to all board members for their review and approval. Any questions the audit committee and board members have are directed to room to read's controller.”
“Process for monitoring of conflict of interest policy our conflict of interest policy is included in room to read's employee handbook. Worldwide the employee handbook is distributed to new employees upon hire. In accordance with this policy, signed acknowledgements are maintained in individual employee files by human resources. Annually the management team and board sign conflict of interest statements and during the year any changes in conflict of interest are reported to the board.”
“Process for determining compensation of ceo and key employees the board has a human resources committee which includes at least two independent directors and the chief operating officer. The organization uses an independent advisory party to benchmark all salary ranges at least every 2 years. The human resources committee reviews and approves in general the organization's salary ranges. Separately, based on these benchmarks and on individual performance reviews, the human resources committee submits recommendations for top management salaries (including the ceo and cfo) to the board, which are reviewed by the board as part of the annual budget discussion.”

“Room to read (the organization) is an international, non-governmental organization that believes that world change starts with educated children. We envision a world in which all children can pursue a quality education that enables them to reach their full potential and contribute to their community and the world. Room to read seeks to transform the lives of millions of children in low income communities by focusing on literacy and gender equality. Room to read's innovative model focuses on deep, systemic transformation within schools in low-income communities during two time periods that are most critical in a child's schooling: early primary school for literacy acquisition and secondary school for girls' education. We work in collaboration with local communities, partner organizations, and governments to develop literacy skills and a habit of reading among primary school children and ensure girls can complete secondary school with the skills necessary to negotiate key life decisions. Room to read has benefited 23.89 million children across more than 40,700 communities in 20 countries. In 2020, room to read conducted program operations through direct implementation in seven countries in asia (bangladesh, cambodia, india, laos, nepal, sri lanka and vietnam), and two countries in africa (south africa and tanzania). Room to read was incorporated in the state of washington in 1999 and moved the organization's headquarters to its current location in san francisco, california in 2002. Operations are conducted as a registered international non-governmental organization (ingo) under agreements with the local responsible governmental department(s) in certain countries and through locally incorporated affiliates in other countries. In 2020, room to read conducted fundraising and book development and distribution activities in the us and fundraising in ten countries outside of the us: namely, australia, canada, hong kong, india, japan, the netherlands, singapore, switzerland, the united kingdom, and new zealand. Operations in these countries are conducted through locally incorporated limited companies or registered charities and foreign affiliates.”

“Fin 48 (asc 740) footnote the organization was incorporated under the laws of the state of washington and granted tax-exempt status by the internal revenue service under section 501(c)(3) of the internal revenue code and by the california franchise tax board under section 23701d of the revenue and taxation code. Accordingly, the organization is not subject to us federal or state income tax on its income other than unrelated business income, and no provision for income taxes has been included in these consolidated financial statements. The organization follows guidance that clarifies the accounting for uncertainty in tax positions taken or expected to be taken in a tax return, including issues relating to financial statement recognition and measurement. This guidance provides that the tax effects from an uncertain tax position can only be recognized in the financial statements if the position is more likely than not to be sustained if the position were to be challenged by a taxing authority. The assessment of the tax position is based solely on the technical merits of the position, without regard to the likelihood that the tax position may be challenged. The organization is exempt from federal income tax under internal revenue code section 501(c)(3), though it is subject to tax on income unrelated to its exempt purpose, unless that income is otherwise excluded by the code. The organization has processes presently in place to ensure the maintenance of its tax-exempt status, to identify and report unrelated income, to determine its filing and tax obligations in jurisdictions for which it was nexus, and to identify and evaluate other matters that may be considered tax positions. The organization has determined that there are no material uncertain tax positions that require recognition or disclosure in the consolidated financial statements.”
“On april 27, 2020, the organization successfully received a loan from the us small business administration in the amount of $1,391,132 under the paycheck protection program ("ppp"). The ppp, established as part of the coronavirus aid, relief and economic security act ("cares act"), provides for loans to qualifying businesses for amounts up to 2.5 times the average monthly us payroll expenses of the qualifying business. On june 5, 2020, the paycheck protection program flexibility act of 2020 was signed into law and amends the original cares act making loan terms more favorable for borrowers. The loans and accrued interest are forgivable after twenty-four weeks as long as the borrower uses the loan proceeds for eligible purposes, including payroll, certain benefits and employer taxes, rent and utilities. The organization applied for loan forgiveness on october 15, 2020 and has since received approval from the us small business administration for full forgiveness of the ppp loan on january 16, 2021.”
