Governance Explanations

Form 990, Part VI, Section A, Line 2

Jo lynn allen and chris mcgowan have a business relationship.

Form 990, Part VI, Section A, Line 4

Effective december 15, 2020 the bylaws were amended to add a chair position, simplify the board structure, increase the number of allowable directors, clarify term limits, provide clarification around committees, and update language to align with best practices in board governance.

Form 990, Part VI, Section B, Line 11B

The executive director, director of finance and accounting manager review and approve the form 990. The finance and audit committee of the board read through the form 990 and communicate directly with the director of finance and tax preparer to ascertain if they have any issues or to gain clarification when the information or responses are not self evident. The entire board receives a copy of form 990 before it is filed.

Form 990, Part VI, Section B, Line 12C

Paid officers of the organization and the board are required to sign and comply with the organization's conflict of interest policy. Annually, the officers and board complete a questionnaire that is reviewed by the director of finance. Any potential conflicts identified from the initial review are evaluated by the ceo and the board chair. If a conflict of interest arises, the board members or officers will recuse themselves from voting on that particular matter or subject.

Form 990, Part VI, Section B, Line 15

A study of comparable organizations is conducted in order to establish compensation for the executive director. The results are analyzed by members of the board of directors in order to approve a salary for the executive director. The organization's human resources department performs a salary review, utilizes comparative form 990 information, and researches similar positions locally and nationally to determine compensation levels for key employees and officers. Detailed job descriptions defining duties, responsibilities, required skill level and experience also provide support for benchmarking and determining the market value for key positions. Department directors must approve all employment offers, the executive director must approve all management and key employee offers and the board must approve any executive director offers. The last compensation review occurred in 2020.

Form 990, Part VI, Section C, Line 19

The organization makes its governing documents, conflict of interest policy and financial statements available upon request.

Supplemental Narrative

Additional Explanations

FORM 990, PART I, LINE 6:

The number of volunteers is determined by running reports in volgistics, our volunteer database. Volunteer records and hours are tracked in volgistics throughout the year. Volunteers assisted with the guest experience and interpretation work, board of directors, public programs and education, and public relations/marketing throughout the year. There were over 2,100 hours served.

FORM 990, PART XI, LINE 9:

Loss on uncollectible pledges -12,050.

Financial Statement Notes

PART III, LINE 1A:

The organization's collections are made up of artifacts of historical significance and art objects that are held for educational, research, and curatorial purposes. Each of the items is cataloged, preserved, and cared for, and activities verifying their existence and assessing their condition are performed continuously. In keeping with standard museum practice, the organization's collections, acquired through purchase and contributions, are not recognized as assets on the consolidated statement of financial position. Purchases of collection items are recorded in the year in which the items were acquired as decreases in net assets without or with donor restrictions depending on the source of the assets used to purchase the items and whether those assets were restricted by donors. Contributed collection items are not reflected in the consolidated financial statements. Proceeds from deaccessions, which are reflected as increases in net assets with donor restrictions, are used exclusively to acquire new additions and direct care for items within the collection. The organization considers direct care expenditures investments that conserve or restores a collection items cultural value, physical condition, or pursuit of longterm preservation goals.

PART III, LINE 4:

Mopop's collection includes more than 100,000 objects. The collection serves as a wellspring for inspiring ideas and themes, for programs and exhibitions. By displaying artifacts from the collection in exhibitions, the curatorial team is able to build narratives around key objects that draw the attention of visitors, while also using the collection to provide a larger historical context that deepens their appreciation and understanding of diverse areas of pop culture.

PART XI, LINE 2D - OTHER ADJUSTMENTS:

Loss on uncollectible pledges -12,050.

PART XI, LINE 4B - OTHER ADJUSTMENTS:

Special event expenses -449,225.

PART XII, LINE 2D - OTHER ADJUSTMENTS:

Expense from affiliate 510,181. Special event expenses 449,225.

IRS990/Desc0MOPOP OPERATES AN ICONIC, ARCHITECTURALLY SIGNIFICANT AND CUSTOM-BUILT MUSEUM BUILDING, DESIGNED BY RENOWNED ARCHITECT FRANK O. GEHRY. PROGRAM COSTS ASSOCIATED WITH THE BUILDING INCLUDE DEPRECIATION OF $6,914,125 AND $6,822,749 AND OCCUPANCY OF $923,522 AND $2,164,815 RESPECTIVELY FOR 2020 AND 2019. WHEREAS SOME MUSEUMS HAVE A SEPARATE LEGAL ENTITY WHICH OWNS THEIR BUILDING AND IS NOT CONSOLIDATED WITH OPERATIONS FOR FORM 990 REPORTING PURPOSES, MOPOP DOES NOT. THEREFORE, MOPOP'S FORM 990 INCLUDES ALL DEPRECIATION EXPENSE OF ITS BUILDING. EXCLUDING THAT DEPRECIATION, MOPOP'S NET REVENUE (LOSS) FOR 2020 AND 2019 990 REPORTING PURPOSES AMOUNTED TO ($6,126,737) AND $4,137,903 RESPECTIVELY. MOPOP FUNDS THE COST OF BUILDING CAPITAL IMPROVEMENTS OUT OF CASH FLOW FROM MUSEUM OPERATIONS.
