The ceo, director of finance and controller review and approve the form 990. The finance and audit committee of the board read through the form 990 and communicate directly with the director of finance and tax preparer to ascertain if they have any issues or to gain clarification when the information or responses are not self evident. The entire board receives a copy of form 990 before it is filed.

Form 990, Part VI, Section B, Line 12C

Paid officers of the organization and the board are required to sign and comply with the organization's conflict of interest policy. Annually, the officers and board complete a questionnaire that is reviewed by the director of finance. Any potential conflicts identified from the initial review are evaluated by the ceo and the board chair. If a conflict of interest arises, the board members or officers will recuse themselves from voting on that particular matter or subject.

Form 990, Part VI, Section B, Line 15

A study of comparable organizations is conducted in order to establish compensation for the ceo. The results are analyzed by a compensation committee in order to approve a salary for the ceo. The organization's human resources department performs a salary review, utilizes comparative form 990 information, and researches similar positions locally and nationally to determine compensation levels for key employees and officers. Detailed job descriptions defining duties, responsibilities, required skill level and experience also provide support for benchmarking and determining the market value for key positions. Department directors must approve all employment offers, the ceo must approve all management and key employee offers and the board must approve any ceo/executive director offers.

Financial Statement Notes

PART III, LINE 1A:

The organization's collections are made up of artifacts of historical significance and art objects that are held for educational, research, and curatorial purposes. Each of the items is cataloged, preserved, and cared for, and activities verifying their existence and assessing their condition are performed continuously. In keeping with standard museum practice, the organization's collections, acquired through purchase and contributions, are not recognized as assets on the statement of financial position. Purchases of collection items are recorded in the year in which the items were acquired as decreases in unrestricted or temporarily restricted net assets depending on the source of the assets used to purchase the items and whether those assets were restricted by donors. Contributed collection items are not reflected in the financial statements. Proceeds from deaccessions, which are reflected as increases in temporarily restricted net assets, are used exclusively to acquire other additions to the collection.

PART III, LINE 4:

Emp's collection includes more than 173,000 objects primarily key artifacts in the history of popular music, particularly in regard to jimi hendrix, acoustic and electric guitars, and the contemporary northwest music scene. The collection serves as a wellspring for inspiring ideas and themes, for programs and exhibitions. By displaying artifacts from the collection in exhibitions, the curatorial team is able to build narratives around key objects that draw the attention of visitors, while also using the collection to provide a larger historical context that deepens their appreciation and understanding of diverse artists and genres.
