Governance Explanations

Form 990, Part VI, Section A, Line 8B

Committees of the organization's board of directors (governance committee, finance committee, etc.) do not record minutes of their meetings.

Form 990, Part VI, Section B, Line 11B

The form 990 is reviewed by the director of finance, coo, and executive director for accuracy prior to being filed with the irs. A copy of the 990 is provided to the board after it is filed with the irs.

Form 990, Part VI, Section B, Line 12C

The conflict of interest policy is presented to board members multiple times throughout the year for review and execution: 1) when a board member joins the board; 2) annually in december and 3) annually in april. Potential conflicts are discussed during governance committee meetings. If appropriate, conflicts of interest are discussed at a board meeting, and the board member recuses himself/herself from the meeting and any vote associated with the matter in question.

Form 990, Part VI, Section B, Line 15A

The process for determining compensation for the executive director (ed) is governed by a multi-year employment contract. Compensation is reviewed when the contract is up for renewal but generally remains unchanged during the term of the agreement. The dfa and ed evaluate compensation using the budget for the year as well as the united way of king county wage and benefit survey. Siff tries to stay within the median range for compensation. The board is responsible for hiring and managing the ed, and in theory, the ed receives an annual performance review from the board. While this process was informal in the organization's early years, it has become more structured as of this year and will continue to be formalized going forward.

Form 990, Part VI, Section C, Line 19

The organization makes its documents available to the public upon request.
