“The bylaws were amended in may 2024, the following significant changes occurred: -the number of directors on the board range has changed to between eight and twenty four members. -there is no longer an immediate past chair position. -the term of office will continue to be three years however will end on december 31 of calendar year regardless of what month term began. They may only serve 9 successive years except other wise permitted by the board. After one year off the board the person may be a candidate for additional terms. -executive committee no longer includes the treasurer. -the operations/board education committee and community resource committee have been removed. -the governance committee has been added. The duties and responsibilities of the governance committee shall include: conducting the process for establishing board composition goals and recruiting new board members; reviewing board nominations and overseeing the election of board officers; onboarding new directors; planning and executing continuing education for existing directors; organizing board retreats; overseeing board committee composition; advising the board regarding amendment to these bylaws; and conducting the annual board member evaluation. The committee shall review and advise the board on major changes to the services performed by the corporation and the committee may advise the board to set in place an ad hoc committee as necessary. -the fundraising and communications committee has been added. The duties and responsibilities of the fundraising and communications committee shall include: advising the board, ceo, and development and marketing teams on growing the corporation's donor base; developing effective ways to tell the corporation's story to donors and prospective donors; and creating greater awareness of the corporations' work in the community. -officers of the corporation include president/chief executive officer, chief financial officer, chief operating officer, and chief medical officer.”

“The form 990, including schedule b, is reviewed by management and the finance & audit committee of the board of directors. The committee, upon acceptance of the form 990, informs the full board of directors of the outcome of the committee's review, and copies of the form are distributed to all board members. At the conclusion of this process, the committee instructs management to submit the form 990 to the irs.”

“Our bylaws include a conflict of interest policy, and the board of directors is covered by the policy. Prospective board members are questioned on any existing and/or potential conflict of interest issues during the board member recruitment process. The board has a practice that it is the responsibility of all board members to continually monitor and disclose any new or potential conflict of interest concerns on an ongoing basis. When a conflict of interest occurs, the board determines if there is a conflict of interest, reviews it, and determines if the member(s) involved should be excluded from the particular conversation or vote.”

“Each year the executive committee of the board of directors reviews the ceo's compensation to set the compensation for the following year. The committee uses outside comparable information to set this compensation. The primary source of information is the mental health corporations of america annual salary survey for officers and key employees. The ceo, in turn, completes an annual review process for the compensation of the other employee officers.”

“The governing documents, conflict of interest policy, and financial statements are made available to the public upon request.”
