“The museum's accounting firm forwards the form 990 to the controller. The cfo and controller review the form. After review, the form is forwarded to the ceo, the finance committee and the audit and risk management committee for review. The final draft form is posted on the trustee cloud site which is used for all trustee communication of information and documents. The trustees are encouraged to forward any questions to the cfo and controller who will review and address the questions.”
“The museum requires all of the trustees and key employees to complete a conflict of interest acknowledgement annually. If a conflict is disclosed a committee is formed comprised of the chairs of the audit and risk management committee and legal committee (or their designees) and such other trustees as the chair of the board may designate. The committee will consider the matter and determine what if any action should be taken by the trustee or by the board in order to deal with the matter. All trustees complete the conflict of interest acknowledgement prior to taking their seat or position.”
“Ceo: annually the compensation committee negotiates performance objectives with the ceo. Those objectives are measurable and quantitative. They are used to determine the performance of the ceo. In addition, the compensation committee commissions studies of comparable positions within other non-profits. The combination of the market leveling and the performance to goals is then used to determine any bonus or salary increase annually. The change in compensation is approved by the compensation committee. The comparable positions benchmark studies are reviewed every 3-4 years. Executive staff: when executive staff members are hired, the ceo reviews and gains approval for their proposed compensation with the compensation committee to ensure that they are equitable and in line with market guidelines. The ceo also determines salary increases and bonuses for the executive staff each year based on performance and external benchmarks, and based on the overall expense budget approved by the board of trustees. The information is subsequently shared with the compensation commitee for their review. All staff: the ceo creates a budget for increases that is reviewed by the compensation committee and approved for alignment with overall market guidelines.”
“The organization makes its governing documents, conflict of interest policy, and financial statments available to the public upon request.”
“On march 11, 2020, the world health organization declared the novel strain of coronavirus (covid-19) a global pandemic and recommended containment and mitigation measures worldwide. The covid-19 outbreak in the united states has caused business disruption through mandatory and voluntary closings of businesses and shelter in place orders. On march 14, 2020, the museum closed its physical doors to the public. While the disruption is expected to be temporary, the museum's venue rentals revenues and program income revenues (admissions sales, gift store sales, and caf rent) were adversely impacted for the remainder of the fiscal year ended june 30, 2020 and are being impacted for the next year ending june 30, 2021, though the aggregate total impact is still to be determined. After the pandemic forced the closure of our live programming, live education programs, and physical exhibits, the museum successfully opened its digital portals to produce events through zoom presentations to live virtual audiences and rolled out a suite of virtual education programs and resources to meet the needs of learners of all ages. More details are included in the program service accomplishments section.”
“Paycheck protection program: on april 16, 2020, the museum received loan proceeds of $1,414 from a promissory note issued by crf small business loan company, llc, under the paycheck protection program ("ppp") which was established under the cares act and is administered by the u.s. Small business administration. The term on the loan is two years and the annual interest rate is 1.00%. Under the terms of the cares act, ppp loan recipients can apply for and be granted forgiveness for all or a portion of the loans granted under ppp. Such forgiveness will be determined based on the use of the loan proceeds for payroll costs, rent and utility expenses and the maintenance of workforce and compensation levels with certain limitations. The museum has recorded the loan proceeds as a contribution and believes that it will likely qualify for full forgiveness. The guidelines issued by the small business administration ("sba"), in consultation with the department of the treasury, have been followed by the museum, yet still no assurances of full forgiveness can be granted until the forgiveness application process is complete.”
“The museum's collections are made up of artifacts of historical significance held for educational, research, scientific, and curatorial purposes. Some items are in the process of being catalogued. The collections are subject to a policy that requires proceeds from the sale of any collection item to be used to acquire other items for the collections. The accessioned items in the collection undergo a rigorous review process with approval by a subcommittee of the board of trustees prior to deaccessioning. The process is in compliance with appropriate museum standards and codes. To date, the collections have been acquired primarily through donations and are not recognized as assets on the statements of financial position. Purchases of collection items have been expensed and are recorded as decreases in net assets without donor restrictions in the year in which the items are acquired, and as a release of net assets with donor restrictions if the assets used to purchase the items are restricted by donors.”
“The computer history museum is the world's leading institution exploring the history of computing and its ongoing impact on society. It is home to the largest international collection of computing artifacts in the world, encompassing computer hardware, software, documentation, ephemera, photographs and moving images. The museum's collections and research activities include a physical collection of nearly 42,000 historical objects, nearly 75,000 document records related to the history of computing, more than 30,000 software titles, and an estimated 30,000 photographs and moving images. The museum has catalogued almost 156,000 items and makes the catalogue available to the general public through its website, www.computerhistory.org.”
“The museum's endowment consists of investments established to support the operations of the museum. The endowment includes both donor-restricted endowment funds and funds designated by the board of trustees to function as endowments. As required by u.s. Gaap, net assets associated with endowment funds, including funds designated by the board of trustees to function as endowments, are classified and reported based on the existence or absence of donor-imposed restrictions.”
“The museum is a qualified organization exempt from federal income and california franchise taxes under the provisions of sections 501(c)(3) of the internal revenue code and 23701d of the california revenue and taxation code, respectively, except to the extent of unrelated business taxable income as defined under sections 511 through 515 of the internal revenue code. Since the museum has immaterial unrelated business taxable income, no provision for income taxes has been provided in these financial statements. The museum recognizes the effects of its income tax positions only if those positions are more likely than not to be sustained. The museum has evaluated its tax positions and has concluded as of june 30, 2020 and 2019, the museum does not have any significant uncertain tax positions for which a reserve would be necessary.”
