Governance Explanations

Form 990, Part VI, Section A, line 1

The Board of Trustees delegates broad authority for routine governing matters to the Executive Committee, which consisted of 8 Trustees in FY 2017, including but not limited to, the Chairman of the Board, and Chair of the Finance Committee. The Executive Committee submits recommendations on larger governing matters to the Board for approval or ratification.

Form 990, Part VI, Section B, line 11B

The museum's accounting firm forwards the form 990 to the controller. The cfo and controller review the form. After review, the form is forwarded to the ceo, the finance committee and the audit committee for review. The final form is posted on the trustee intranet site which is used for all trustee communication of information and documents. The trustees are encouraged to forward any questions to the cfo and controller who will review and address the questions.

Form 990, Part VI, Section B, line 12C

The museum requires all of the trustees and key employees to complete a conflict of interest acknowledgement annually. If a conflict is disclosed a committee is formed comprised of the chairman of the board of trustees, the chair of the audit committee, and such other trustees as the chairman of the board of trustees may designate. The committee will consider the matter and determine what if any action should be taken by the trustee or by the board in order to deal with the matter. All trustees complete the conflict of interest acknowledgement prior to taking their seat or position.

Form 990, Part VI, Section B, line 15

CEO: ANNUALLY THE COMPENSATION COMMITTEE NEGOTIATES PERFORMANCE OBJECTIVES WITH THE CEO. THOSE OBJECTIVES ARE MEASURABLE AND QUANTITATIVE. THEY ARE USED TO DETERMINE THE PERFORMANCE OF THE CEO. IN ADDITION, THE COMPENSATION COMMITTEE COMMISSIONS STUDIES OF COMPARABLE POSITIONS WITHIN OTHER NON-PROFITS. THE COMBINATION OF THE MARKET LEVELING AND THE PERFORMANCE TO GOALS IS THEN USED TO DETERMINE ANY BONUS OR SALARY INCREASE ANNUALLY. THE CHANGE IN COMPENSATION IS APPROVED BY THE COMPENSATION COMMITTEE. THE COMPARABLE POSITIONS BENCHMARK STUDIES ARE PUBLISHED EVERY 3-4 YEARS. EXECUTIVE STAFF: WHEN EXECUTIVE STAFF MEMBERS ARE HIRED, THE CEO REVIEWS THEIR PROPOSED COMPENSATION WITH THE COMPENSATION COMMITTEE TO DETERMINE THAT THEY ARE EQUITABLE AND IN LINE WITH MARKET GUIDELINES. THE CEO ALSO DETERMINES SALARY INCREASES AND BONUSES FOR THE EXECUTIVE STAFF EACH YEAR BASED ON PERFORMANCE AND EXTERNAL BENCHMARKS, AND BASED ON THE OVERALL EXPENSE BUDGET APPROVeD BY THE BOARD OF TRUSTEES. ALL STAFF: THE CEO CREATES A BUDGET FOR INCREASES THAT IS REVIEWED BY THE COMPENSATION COMMITTEE AND APPROVED FOR ALIGNMENT WITH OVERALL MARKET GUIDELINES.

Form 990, Part VI, Section C, line 19

The organization makes its governing documents, conflict of interest policy, and financial statments available to the public upon request.

ABOUT COMPUTER HISTORY MUSEUM (CHM):

The computer history museum is a nonprofit organization spanning a four-decade history and is currently the world's leading institution exploring the history of computing and its ongoing impact on society. The museum's physical collection provides a rich variety of information, exhibits, research and a vast library of online multimedia content.

FORM 990, PART III, PROGRAM SERVICE ACCOMPLISHMENTS:

Line 4A - Collections and Research The Museum is dedicated to the preservation and celebration of computer history and has the largest collection of computing artifacts in the world. This collection now includes nearly 40,000 historical objects, nearly 49,200 document records, more than 10,700 software titles, and an estimated 32,000 photographs and moving images. A key component of the museum's collection, oral histories of the pioneers and innovators of the Computer Revolution, has grown to over 800 in the past year. In addition to these physical artifacts, the museum has a vast collection of digital assets, including historic source code of some of the earliest software ever written. A state-of-the-art digital repository now has 127 terabytes of storage space, with over 70 terabytes already in use. The museum's collection and archiving operations are now housed at the 50,000 square foot Shustek Center, purchased in 2016 and named for museum chairman Len Shustek. The Shustek Center furthers the excellent stewardship of the museum's collection and its commitment to ongoing research and access. As of June 2017, the museum catalogued almost 132,000 items, an increase of roughly 26,000 over the previous year, and makes these records accessible on the CHM website for public use. The Shustek Center offers accessibility and work space for visiting scholars and researchers, with an average of 15-20 on-site users per year, and the fulfillment of over 450 unique research and collection queries annually. In 2016, the museum also introduced the Center for Software History, and by mid-2017 the center was fully operational with a dedicated Software Lab at the Shustek Center, a staff of three full-time curators, research work and published articles on early software products and source code, lecture programs through the museum's CHM Live series, and the convening of an international multidisciplinary software historians conference at the museum to explore how software relates to the social and technical constructs of power. To further its collection and research efforts to present the world with a 360-degree view of the Computer Revolution, the Exponential Center was launched in June, 2016. The Exponential Center is devoted to capturing the legacy and advancing the future of entrepreneurship and innovation in Silicon Valley and around the world. The Exponential Center has five integrated initiatives: Collections and Exhibitions, Research and Insights, Education, Events, and Thought Leadership. In its first year, the center collected 21 oral histories, artifacts including the first business plans of NetApp and Sun Microsystems, and 85 original ads from the early years of Intel and Apple. In 2015, museum archivists took on an ambitious broadening of their scope in collection archiving. With a goal of creating a corporate culture of preservation in Silicon Valley, the Museum undertook a multi-year project and partnered with San Jose-based Cisco Systems to preserve its three decade corporate history. The museum's extensive experience and expertise in computer history and archive management made it a perfect partner for Cisco. Upon completing the Cisco project in 2017, the Museum engaged with Google for its second multi-year archiving project to preserve the Google Founder's Collection.

Line 4B - Exhibitions The Museum has a broad interpretive mission to make the history, impact, and future possibilities from computing come alive for audiences around the world through physical and on-line exhibits, live displays, and demonstrations of historic machines. In 2017, over 130,000 guests from 140 countries experienced the museum's 40,000 square feet of exhibits, which included: "Revolution: the First 2000 Years of Computing", the museum's signature exhibit of 19 galleries, over 1,000 historic artifacts, and multimedia experiences that chronicle the history of computing on an international scale; "Make Software: Change the World!", a new exhibit opened in 2017 with a uniquely designed interactive space that follows the story of seven transformative software applications - Photoshop, MP3, MRI, Car Crash, Wikipedia, Texting and World of Warcraft - all anchored by a multimedia software lab that encourages visitors to learn programming basics; "Where To? A History of Autonomous Vehicles", where visitors learn the history of autonomous vehicles, enjoy science fiction and popular culture dreams of the driverless family car, get close-up with the Google self-driving car, and learn how this amazing technology works; "Thinking Big: Ada, Countess of Lovelace", an exhibit inspired by the remarkable life of 19th century English mathematician and visionary Ada Lovelace; "The IBM Demo Lab", with two fully restored IBM 1401 systems in a 1960's era setting, where visitors learn about one of the world's most successful computing systems and see public demonstrations of the restored 1401s in action; and the "PDP-1 Demo Lab", the first commercial computer designed to interact with a single user. The museum's restoration team brought the PDP-1 back to working condition, loaded the machine with vintage games, including the iconic "Spacewar! and holds weekly demonstrations, including extremely popular "Spacewar" tournaments; The first Exponential Center display, "1 to 1 Billion", featuring eight iconic artifacts from the museum's collection, illustrates how one idea, combined with entrepreneurial spirit, can touch a billion people, create a billion devices, or generate a billion dollars. The museum furthers its interpretive mission to reach a global audience through multiple distribution channels. Launched in 1996, Computerhistory.org, the museum's website is one of the earliest on-line museums in the world. The website had over 8.1 million page views in 2017, and over 76 million since its inception. The website has viewers in over 244 countries and territories, allowing the museum's innovative on-line exhibits to be enjoyed worldwide. These exhibits include: Revolution On-Line; The Babbage Engine; Make Software: Change the World!; The Silicon Engine; Selling the Computer Revolution; This Day in History; and The Timeline of Computer History, the site's most popular exhibit. In addition to Computerhistory.org, the museum has a CHM YouTube channel that receives over 1 million views a year for its almost 800 videos available. These videos are comprised of historic films from the collection, museum events, and the Oral History program. The museum is active in social media, with Twitter, Instagram, Tumblr accounts, and in 2017 its Facebook followers reached 116,000. Creative content produced by the museum reaches audiences via its blog (@CHM) and in 2017, the museum introduced two new digital media channels with CHM Medium and CHM Core+ . In six months during 2017, the museum published 43 stories on these two channels with a viewership of over 30,000. Since 1999, the museum has published its annual publication Core Magazine. The magazine appeals to a wide range of audiences and focuses on beautiful imagery and intensive content, delighting readers and directing them toward a deeper understanding of computing history. With donors, members, and fans receiving either the print or digital version of Core, the magazine circulation in 2017 approach

Line 4C - Public Programming The Museum further fulfills the presentation goals of our mission statement by engaging multiple audiences through public events and lectures, educational programs and its signature annual Fellow Awards. In 2017, the Museum produced 30 live events and lectures with over 8,500 attendees through its CHM Live, Exponential Center and Next Gen programming. In addition to the live audiences, over 206,000 viewers accessed the programming through the CHM Facebook Live stream channel, and over 60,000 have watched these programs on the CHM YouTube channel. Noteworthy events over a wide range of computing topics have engaged thousands of viewers in the past year, including: "AI and Social Good" featuring Yann Lecun, Facebook Director of AI Research, Greg Corrado, Google Principal Scientist, and Eric Horvitz, Microsoft Technical Fellow; "Technology, Health and Equality" with California Endowment SVP Dr. Anthony Iton; "Why Software Matters to Government Intelligence" with IARPA Director Jason Matheny; and "Putting Your Finger on It: Creating the iPhone" featuring Scott Forstall, leader of the original iPhone team. Past industry luminaries who have participated in the CHM lecture series have included Facebook founder Mark Zuckerberg, Facebook COO Sheryl Sandberg, Google Chairman Eric Schmidt, Pixar's Ed Catmull, Yahoo's Marissa Mayer, and Tesla's Elon Musk. Through its innovative Education and Community programs, the Museum makes computer history relevant to visitors of all ages. The museum's school age programs align with Common Core State Standards and next Generation Science Standards. Students in these programs develop essential skills for success in the 21st century, including critical thinking, oral and written communications expertise, and collaboration. At the same time, they learn and apply concepts from science technology, engineering, the arts and math (STEAM) in the context of computer history. Lifelong learners are engaged through a vibrant docent-led experience of daily exhibit tours of Revolution, and demonstrations of the 1401 and PDP-1 Demo labs. In 2017, over 15,000 visitors took part in the museum's tour program. Unique Museum educational programs include: "Design_Code_Build", a year-long series of 22 day-long workshops for over 1,300 students, developed in close collaboration with the Broadcom Foundation; "Talking to the Future", an annual lecture program with featured industry guest speakers; "Google Field Trip Days" for over 1,000 middle school students; "K-12 and Teacher's Workshops; and a popular High School Summer Internship program. The Museum's signature annual gala event is the Fellow Awards, which publicly recognizes the individuals who have made outstanding contributions to the field of computing in categories such as hardware, software, artificial intelligence and networking. The tradition began in 1987, with the first Fellow, early programming pioneer Grace Murray Hopper, and has grown to a distinguished group of 77 members. In 2017, the museum inducted Alan Cooper for his invention of the visual development environment in Visual BASIC, and for his pioneering work in establishing the field of interaction design and its fundamental tools; Margaret Hamilton, for her leadership and work on software for DOD and NASA's Apollo space missions and for fundamental contributions to software engineering; Cleve Moler, for his creation and development of the MATLAB numerical computing environment and programming language; and Larry Roberts, for his contributions to human and machine communications and for his role in the development of the ARPANET and the X.25 protocol.

Financial Statement Notes

Part III, Line 1A:

The Museum's collections are made up of artifacts of historical significance held for educational, research, scientific, and curatorial purposes. Some items are in the process of being catalogued. The collections are subject to a policy that requires proceeds from the sale of any collection item to be used to acquire other items for the collections. The accessioned items in the collection undergo a rigorous review process with approval by a subcommittee of the Board of Trustees prior to deaccessioning. The process is in compliance with appropriate Museum standards and codes. To date, the collections have been acquired primarily through donations and are not recognized as assets on the statements of financial position. Purchases of collection items are recorded as decreases in unrestricted net assets in the year in which the items are acquired or as temporarily restricted net assets if the assets used to purchase the items are restricted by donors.

Part III, Line 4:

The Computer History Museum is the world's leading institution exploring the history of computing and its ongoing impact on society. It is home to the largest international collection of computing artifacts in the world, encompassing computer hardware, software, documentation, ephemera, photographs and moving images. The Museum's collections and research activities include a physical collection of nearly 40,000 historical objects, nearly 49,200 document records related to the history of computing, more than 10,700 software titles, and an estimated 32,000 photographs and moving images. The Museum has catalogued almost 132,000 items and makes the catalogue available to the general public through its website, www.computerhistory.org.

Part V, Line 4:

The museum's endowment consists of investments established to support the operations of the museum. The endowment includes both donor-restricted endowment funds and funds designated by the board of trustees to function as endowments. As required by u.s. Gaap, net assets associated with endowment funds, including funds designated by the board of trustees to function as endowments, are classified and reported based on the existence or absence of donor-imposed restrictions.

Part X, Line 2:

The Museum is exempt from federal income tax under Section 501(c)(3) of the Internal Revenue Code (IRC) and Section 23701d of the Revenue and Taxation Code except to the extent of unrelated business taxable income as defined under IRC sections 511 through 515. Since the Museum has immaterial unrelated business taxable income, no provision for income taxes has been provided in the financial statements. The Museum has no unrecognized tax benefits or uncertain tax positions as of June 30, 2017 and 2016.
