Governance Explanations

The executive committee of the board of directors may exercise all of the powers of the board of directors in the management of the organization except the authority to amend the bylaws, adopt a plan of merger or consolidation, sell, lease, exchange, mortgage, pledge or make any other disposition of all or substantially all of the property and assets of the organizaiton.

The return is reviewed by the director of finance and the executive director. Once all questions and concerns have been reviewed the return is sent electronically to the full board for a review period of at least 48 hours for comments prior to filing the return.

As requested by the president of grace, or the board, each board member shall complete a disclosure form identifying any relationships, positions or circumstances in which the member is involved that he or she believes could contribute to a conflict of interest arising, and will withdraw from the meeting room during any discussion, review and voting in connection with such matter.this policy is reviewed on an annual basis at the beginning of the organization's fiscal year. Compliance is monitored by salaried officers and by the board president.

The organization's executive director is reviewed annually by the executive committee of the board of directors. This committee is composed of certain officers of the board. The committee receives and compares salaries for the executive director to comparability data provided by the agency's payroll and hr service provider and the community council of greater dallas salary surveys of non-profit agencies in the north texas region. Both surveys are completed every year. The committee then approves the salary level. The amount is included in the budget that is approved by the full board annually.

Financial Statement Notes

PART V, LINE 4:

During the 2013-2014 fiscal year, the board of directors designated $50,000 to establish the grace endowment fund. Endowment funds, earnings and additional contributions are to be used by the organization to achieve and further its exempt purpose. Temporarilly restricted funds are restricted for timing or purpose. At the end of the fiscal year there were funds resticted for transitional housing, emergency assistance and the capital campaign. Permanently restricted funds form an endowment whose income can be used to support programs and operational needs of grapevine relief and community exchange.

PART X, LINE 2:

Grace is a nonprofit organization exempt from federal income taxes under internal revenue code section 501(c)(3); therefore, no provision for federal income taxes has been included in the financial statements. Taxes are paid on net income earned from sources unrelated to the exempt purposes. There was no net income from unrelated business for the years ended august 31, 2015 and 2014. Grace follows fasb asc no. 740, income taxes, in recognizing and disclosing uncertain tax positions. There was no liability for uncertain tax positions as of august 31, 2015 and 2014. Penalties and interest, if any, are recorded in management and general, miscellaneous expense. Grace's tax returns are subject to review and examination by federal and state authorities for three years from the due date of the return or the date actually filed. As of august 31, 2015, the tax return years open for audit include tax years ended august 31, 2012 through august 31, 2014.
