Mission and Program Overview

Mission

The organization is dedicated to serving texas prosecutors and their staffs, as well as attorneys in government representation. Tdcaa serves the people who work in the district and county attorneys offices around the state by: 1) producing comprehensive continuing legal education courses for prosecutors, their investigators, and personnel; 2) providing technical assistance to the prosecution community and related criminal justice agencies; and 3) serving as a liaison between prosecutors and other organizations in the day to day adminstration of criminal justice.

Eligibility to vote for officers, directors, and honorary members shall be restricted to district attorneys, criminal district attorneys, and county attorneys who are regular members in good standing.

Each regular member in good standing of the association present at the annual meeting or any special meeting shall be entitled to one vote on each matter submitted to a vote of the members except the election of officers, directors, and honorary members.

The executive director, director of operations, and the secretary/treasurer reviewed the return with the preparing cpa. After review, the form 990 was provided to all board members prior to filing with the irs.

The confilict of interest policy and form is distributed before the december board meeting. The executive director is charged with compiling all of the board member forms. Once those are compiled, they are reviewed by the executive director and the tdcaa board of directors for potential conflicts of interest that would require board member recusal.

The board of directors evaluates the executive director's salary by examining ceo salaries of comparable non-profit corporations using an online resource, and comparing with all napc directors of prosecutor associations around the country. The organization only solicits contributions from its supporting organization as well as in the form of government grants from state of texas governmental entities. Therefore, the organization has not provided any statement regarding deductibility to the supporting organization nor the state agencies from which the grants originated.

Financial Statement Notes

PART X, LINE 2:

The most significant tax positions of tdcaa is its assertion that it is exempt from income taxes and its determination of whether any amounts are subject to unrelated business income tax (ubit). Tdcaa leases office space in tdcaa's debt-financed building. The internal revenue service (irs) considers this "business income" unrelated to tdcaa's tax exempt status. A portion of the profit from these activities is subject to federal income taxes. The profit from these activities was subject to federal income taxes; however, tdcaa had deductions for these activities in excess of revenues for the fiscal year ended august 31, 2019. Tdcaa utilized their remaining net operating loss deduction from these activities for the fiscal year ended august 31, 2018. Thus, no provision has been included in these financial statements for any federal income tax liability that may result from this revenue at august 31, 2019 and 2018 (after further analysis, ubit fye august 31, 2019 was $1,750). All significant tax positions have been considered by management and it has determined that it is more likely than not that all tax positions would be sustained upon examination by taxing authorities.
