“Changes to the by-laws were approved by executive board via e-vote on august 12, 2024. Approved by membership via e-vote on october 14, 2024: article v - officers, sec. A. Paragraph 1 "... Subject to article v, section h below, the president-elect shall assume the office of president in the event the office of the president becomes vacant." article v - officers, sec. A. Paragraph 2 "... The secretary and treasurer shall not hold the same office for more than two (2) consecutive terms and, in the event either has served two (2) consecutive terms in the same office, must wait a period of at least two (2) years prior to holding the same office. An individual serving as secretary or treasurer may only hold those offices for a total of three (3) terms. Notwithstanding the above, no individual shall serve more than nine (9) years on the executive board and, subject to the term limits for members of the executive board set forth below, no individual shall serve more than one term in the president cycle (president-elect, president, immediate past president)." article v - officers, sec. H. Vacancies "in the event of a vacancy, the president-elect-shall fill the uncompleted portion of the office of the president. In the event that the office of the president-elect becomes vacant, the office shall be filled for the uncompleted portion through a special election process that shall take place within three months of the vacancy. The president shall appoint, with the majority approval of the other members of the executive board, an individual to fill the uncompleted portion of the office of the secretary or treasurer. A vacancy in the office of immediate past president shall not be filled." article vii - elections section a. "the nominations committee shall prepare a list of nominees for all officer and member-at-large positions on the board that will be open as of july first of each year and shall forward it to the executive board for approval. In the event that after an exhaustive search process there are not at least two nominees per open position, the executive board may authorize the nominations committee to consider individuals who have exceeded the term limits set forth in these bylaws and the applicable limits shall be waived, if necessary." section b. Composition and term of members-at-large "the executive board shall consist of the elected officers: president, president-elect, immediate past president, secretary and treasurer, and up to six members at large, whose roles are described in the executive board policy manual. Each member-at-large shall serve a term of two (2) years and may hold office for no more than two (2) consecutive terms and three (3) terms total. A member-at-large who has served two (2) consecutive terms may serve a third term after waiting a period of at least two (2) years following the end of the member's second term." article viii - executive board, sec. “The national association of pediatric nurse practitioners (the "association") was established as a membership organization.”

“The association has members, who may elect from among themselves, individuals to the governing body. There are no stockholders in this association.”

“The association's elected governing body is responsible for deciding what decisions may be implemented or changed. Decisions to change the by-laws are not binding until the entire association's eligible members vote on the changes. If approved by the majority of these members only then may the changes be implemented. The election of officers and members-at-large of the executive board shall be conducted by ballot.”
