Fort Sanders Foundation raises and distributes funds in support of patient care, equipment, programs, services and staff not otherwise funded by Covenant Health and its affiliates. The Foundation's mission is to provide charitable support for Covenant Health's mission to serve the community by improving the quality of life through better health.

To support the programs and services of Covenant Health through charitable gifts.

Fort Sanders Foundation has one member, Covenant Health, a Tennessee nonprofit corporation.

Form 990, Part VI, Section A, line 7A

The members of the board of directors, other than the ex officio members, shall be elected by Covenant Health from a slate of nominees nominated by the board of directors of the Foundation and recommended to the Member for election. The sole member, Covenant Health, has the exclusive right to vote on the election, appointment of, or removal of directors.

The sole member, Covenant Health, must approve all appointments to the board of directors, and any amendments to the bylaws. Subject in all events to the rights of the Member, the policymaking powers of the Corporation are vested in and exercised by the Corporations's board of directors.

Overall compensation policies for Covenant Health (Parent Company) and affiliates are set by the Compensation Committee of the Covenant Health board of directors, ("the Committee"), which is comprised of independent members of the board. The Committee is guided in its decision-making process by an independent, nationally-recognized executive compensation consultant experienced in advising nonprofit hospital boards. The Covenant Health CEO is compensated by Covenant Health, and a detailed description of the compensation process is included on Covenant Health's Form 990.

Part V, Line 4:

Fort Sanders Foundation maintains five permanent endowments for the purpose of providing a permanent source of income for programs at Fort Sanders Regional Medical Center, Parkwest Medical Center, and the Fort Sanders School of Nursing at Tennessee Wesleyan. The Pastoral Care Fund and the Caroline Can! Fund were established for the benefit of Fort Sanders Regional Medical Center, the Wayne Heatherly Excellence in Patient Care Fund for Parkwest Medical Center, and the Ruth Crawley R.N. Scholarship Award Fund for Tennessee Wesleyan Fort Sanders School of Nursing. The Lewis S. Howard Fund was established to benefit Cardiac Rehab patients at Fort Sanders Regional and Parkwest. The principal of all five permanent endowments will be kept intact in perpetuity and only the income generated will be distributed to support programs at these institutions.

Part X, Line 2:

Excerpt from the consolidated audited financial statements of Covenant Health (Covenant), parent company to Fort Sanders Foundation: Covenant and certain of its subsidiaries or controlled entities are exempt from income taxes pursuant to Section 501(c)(3) of the Internal Revenue Code. Accordingly, no provision for income taxes on qualifying activities has been made for these entities in the accompanying consolidated financial statements. However, certain entities and operations are subject to income taxes. Covenant had no unrecognized tax benefits at December 31, 2018. As such, no interest or penalties were recognized in the consolidated financial statements related to unrecognized tax benefits. At December 31, 2018, tax returns for 2015 through 2018 are subject to examination by the Internal Revenue Service. Covenant has no uncertain tax positions that would require financial statement recognition or disclosure under GAAP at December 31, 2018.

Patients are vetted both clinically and financially by Center staff before being selected for scholarship-funded care. Distributions of $148,687 in 2018 supported these patients for inpatient and outpatient care, as well as durable medical equipment needs.Outpatient cardiac rehabilitation patients with no insurance coverage or ability to pay are provided care through distributions from the Foundation's Lewis S. Howard Memorial Fund. Patients at the Parkwest and Fort Sanders Regional outpatient rehab locations received $13,593 in assistance in 2018. The Foundation receives grant funds annually from the Will Rogers Institute to support pulmonary rehabilitation across Covenant Health. A significant portion of that funding is distributed for scholarships to fund outpatient pulmonary rehab for patients without insurance coverage or ability to pay. In 2018, more than $47,000 supported these patients at Roane, Parkwest, Methodist, LeConte, Loudoun, and Fort Sanders Regional pulmonary rehabilitation clinics.

In 2018, 3,439 individuals were assisted at Covenant parent company (94), Cumberland Medical Center (17), Claiborne Medical Center (7), LeConte Medical Center (23), Fort Sanders Regional Medical Center (1,540), Fort Loudoun Medical Center (14), Morristown-Hamblen Healthcare System (52), Parkwest Medical Center (418), Roane Medical Center (16), Thompson Cancer Survival Center (784), Methodist Medical Center (254), and Covenant HomeCare/Hospice (150).

The most significant of those are HomeCare, Peninsula, and Fellowship Center.Distributions to Covenant HomeCare of approximately $48,000 supported Katepillar Kids Camp, a free weekend grief camp for children who have experienced the death of a loved one; grief counseling and memorial service for Hospice patient families; staff education; and assistance for indigent HomeCare patients. Over $76,000 in distributions to HomeCare underwrote the operations of the Hope Center, which provides no cost assistance to the HIV community in an effort to increase access to care, decrease stigma and raise awareness. In 2018, funds raised through the annual Artsclamation! fine art sale and other donations supported behavioral health care at Peninsula. Approximately $76,000 provided discharge medications to patients who need a supply of prescriptions when they leave the hospital to maintain their health until they are set up on TennCare or other payer sources for ongoing maintenance medications. Emergency assistance for housing, transportation, food, etc. of approximately $16,000 was provided to 56 patients/clients in crisis.The Fellowship Center, an outpatient lodging facility supported entirely by contributions, offers free lodging for families coping with serious illnesses and includes eighteen furnished apartments, a community family room, stocked pantry, and laundry facilities. Thompson Cancer Survival Center patients and their families who live more than 30 miles from Knoxville have priority use of Fellowship Center apartments. As space permits, the Center also welcomes outpatients from Patricia Neal Rehabilitation Center and referrals from area health care facilities. In 2018, $83,438 in cash distributions supported the operational and capital costs of the Center. Additionally, $3,990 in gifts-in-kind were received and distributed to the Center, primarily pantry and household items for use by guests. The Center hosted 477 guests from across the United States in 2018 providing a total of 3,827 nights of free lodging. Additionally, just over $120,000 in funds from the Will Rogers Institute grants were distributed to Fort Loudoun and Morristown-Hamblen Medical Centers to provide new VersaCare telemetry monitoring systems for their outpatient cardiopulmonary rehabilitation clinics. Distributions of almost $100,000 supported clinical and nursing education across Covenant Health.
