Governance Explanations

Form 990, Page 6, Part VI, Line 11B

1. Following the end of the fiscal year, the land trust's federal tax return will be prepared by its accountant. The completed return, including all required schedules and statements, will be provided to the land trust's board of directors at least 21 days prior to the deadline for submission of the return to the internal revenue service. 2. The completed return will be reviewed by the treasurer who will make sure that the information it contains is accurate and complete. If it is not, the treasurer will inform the president, who will inform the preparer of the necessary corrections and additions. If necessary, the preparer will be instructed to request an extension of the filing deadline. The president may delegate this task to the executive director. 3. Once the treasurer has determined that the return is accurate and complete, the 990 or 990-ez is presented to the board of directors at the next board meeting. Approval of the 990 or 990-ez tax return requires a simple majority vote of the board of directors present at the meeting. The treasurer will then sign the return and arrange for it to be filed. A copy of the return will be retained in the ctf office organizational records, in keeping with ctf's records management policy.

New board members, staff members and volunteers are required to sign ctf's conflict of interest policy (coi) at the time of their orientation to the organization. Board members renew their coi every three years if they choose to renew their board term. To monitor and enforce compliance, each year during ctf's financial review, each board member answers a questionnaire aimed at determining if any conflicts are present. If conflicts are found, they would be dealt with according to ctf's coi policy.

Ctf established an ad hoc search committee that conducted a nationwide search for a new executive director. Part of the committee's responsibilities included reviewing the land trust alliance's most recent salary survey report and data provided in the "central florida nonprofit compensation & benefits report" published by the rollins edyth bush institute for philanthropy & nonprofit leadership. The board then voted to establish the salary range for the executive director position based on this data and the recommendation by the search committee. Its discussions and decisions are recorded in the board's meeting minutes. Generally, the pay rate is approved by the entire board in january at the annual meeting during the adoption of the annual budget.

Form 990

The conservation trust for florida is an accredited land trust. Accreditation is a mark of distinction in land conservation. It is awarded by the land trust accreditation commission, an independent program of the land trust alliance, to land trusts meeting the highest national standards for excellence and conservation permanence.

Ctf's farmlands and greenways programs are now part of a larger protection scope. The programs have been absorbed into the land protection program, which better encompasses our vision.

The conservation trust for florida is wholly committed to good stewardship, which necessarily includes effective and quick resolutions of violations or non-compliance with conservation easement terms. Ctf approaches easement violations and non-compliance by comprehensively analyzing all aspects of the easement and taking into consideration other facts and circumstances.

Schedule D, Page 1, Part II, Line 9

The organization received all of its easements via donation. The organization does not report donated easements as revenues or as assets. The footnotes to the organization's financial statements include the following related to conservation easements: "property owners grant to the corporation conservation easements that restrict the owner's use of the land in perpetuity. Some allow the corporation to conduct research and studies on the properties. At december 31, 2017 the corporation held easements on seven properties for a total of 730 acres. Since the corporation does not receive any rights to the property, the corporation does not report a value."

Endowment funds are to be invested in perpetuity, the income from which is to be used to monitor and enforce conservation easements. In the remote instance of a legal challenge to a conservation easement that is not covered by insurance, principal of the endowment may be used to defend the easement.

The corporation is exempt from income taxes according to the provisions of section 501(c)(3) of the internal revenue code and has not earned any unrelated business taxable income. Therefore, the corporation has no provision for federal income taxes. The corporation holds no uncertain tax positions and, therefore, has no policy for evaluating them.

THE BOARD THEN VOTED TO ESTABLISH THE SALARY RANGE FOR THE EXECUTIVE DIRECTOR POSITION BASED ON THIS DATA AND THE RECOMMENDATION BY THE SEARCH COMMITTEE. ITS DISCUSSIONS AND DECISIONS ARE RECORDED IN THE BOARD'S MEETING MINUTES.
