Governance Explanations

FORM 990, PART VI, LINE 11B:

Conservation Florida's Form 990 is prepared with the assistance of a CPA. The completed return, including all schedules and statements, is provided to the chief executive officer for review. After revisions are made, the entire Form is provided to the board of directors for their review and approval prior to filing.

FORM 990, PART VI, LINE 12C:

NEW board members, staff members, and volunteers are required to sign Conservation Florida's conflict of interest policy (COI) at the time of their orientation to the organization. Board members renew their COI every three years if they choose to renew their board term. To monitor and enforce compliance, each year, as a part of the preparation of Form 990, each board member answers a questionnaire aimed at determining if any conflicts are present. If conflicts are found, they would be dealt with according to Conservation Florida's COI policy.

FORM 990, PART VI, LINE 15A:

Compensation is evaluated annually by the Board of Directors. The Board uses the Land Trust Alliance's most recent salary survey report and the data provided in the "Central Florida Nonprofit Compensation and Benefits Report" published by the Rollins College Edyth Bush Center for Philanthropy & Nonprofit Leadership.

FORM 990, PART VI, LINE 19:

Governing documents are made available upon request.

FORM 990, PART VI, SECTION A, LINE 4:

Conservation Florida's Board of Directors adopted new Bylaws in March 2022 that reflect the most up-to-date best standards and practices for nonprofit governance.

Financial Statement Notes

PART II, LINE 5:

Conservation Florida is wholly committed to good stewardship, which necessarily includes effective and quick resolutions of violations or noncompliance with conservation easement terms. The Organization approaches easement violations and non-compliance by comprehensively analyzing all aspects of the easement and taking into consideration other facts and circumstances.

PART II, LINE 9:

Conservation easements are comprised of listed rights and/or restrictions over a property that are conveyed by a property owner to the organization in perpetuity in order to protect the property. These intangible assets may be transferred to others so long as the assignee agrees to carry out, in perpetuity, the conservation purposes intended by the original grantor. Conservation easements, by their very nature, do not generate cash inflow annually. The organization does not report the value associated with the easements. As of december 31, 2022, the organization held easements on ten properties for a total of 1,581.31 acres, and the organization does not report a value associated with the easement rights.

PART XIII:

The Organization records land at cost if purchased or at fair value at the date of acquisition if all or part of the land was received as a donation. Fair value is estimated using inputs such as appraisals, taxed assessed value, and other pertinent information gathered at the time of acquisition and is not subsequently adjusted. Land held for conservation represents unrestricted land acquired for the purpose of continuing the Organization's mission, including trade lands. Land restricted for conservation represents land acquired with donor restrictions. All land represents real property with significant ecological, recreational, scenic, or historical value. These properties are managed in an effort to protect the natural biological diversity of the property. Donated properties are often subject to certain conditions, covenants, and reversionary clauses that prohibit the sale and restrict the use of the properties. For this reason, these properties are reflected in net assets with donor restrictions. At December 31, 2022 and 2021, the Organization held four properties which total approximately 556.5 acres. Of this amount, 476 acres with a recorded value of $9,000,000 is currently considered restricted for use and is included in net assets with donor restrictions.

PART X, LINE 2:

THE ORGANIZATION IS A NONPROFIT ORGANIZATION EXEMPT FROM FEDERAL TAXES ON INCOME OTHER THAN UNRELATED BUSINESS INCOME UNDER SECTION 501(C)(3) OF THE INTERNAL REVENUE CODE. THE ORGANIZATION EXPERIENCED NO TAXES AS A RESULT OF UNRELATED BUSINESS INCOME FOR THE YEARS ENDED DECEMBER 31, 2022, AND 2021. THE ORGANIZATION IS NOT CLASSIFIED AS A PRIVATE FOUNDATION BY THE INTERNAL REVENUE SERVICE. ACCOUNTING PRINCIPLES GENERALLY ACCEPTED IN THE UNITED STATES OF AMERICA PRESCRIBE requirements for the recognition of income taxes in financial statements, and the amounts recognized are affected by income tax positions taken by the Organization. The Organization's position that it is tax exempt under Section 501(c)(3) of the IRC and the position that none of its income is unrelated business taxable income are defined as tax positions under these requirements. While management believes it has complied with the IRC, the sustainability of some income tax positions taken by the Organization may be uncertain. There are minimum thresholds of likelihood that uncertain tax positions are required to meet before being recognized in the financial statements. In the event interest and penalties were incurred relating to an unsustainable tax position, they would be treated as a component of income tax expense. Management does not believe that the Organization has any material uncertain tax positions at December 31, 2022 and 2021.

IRS990/Desc0From the Florida Panhandle to the Florida Keys, our Projects are shaping Florida's conservation future and connecting the Florida Wildlife Corridor. The large, statewide projects we target have global significance and will help protect some of the rarest habitats and species in the world. Land Protection Program - Conservation Florida's Land PROTECTION Program protects lands with natural, agricultural, and community conservation values. Our work creates, expands, and links conservation lands. We focus on projects that provide habitat for the survival of Florida's iconic species, recharge drinking water or benefit other hydrologic functions, offer outdoor recreation, and other community benefits. We also help landowners with working ranches, farms and timberlands to keep their land in production for generations to come. We work statewide to serve communities that are not served or are underserved by local land conservation organizations. We have expanded our service areas to reflect our statewide, landscape-scale approach to conservation.

IRS990/ProgSrvcAccomActy2Grp/Desc0Advocacy, education and outreach program our education, events, and advocacy efforts are aimed at supporting our vision of a Florida where protected lands: - form a statewide conservation corridor - support healthy populations of native plants and wildlife - provide places to recreate and connect with nature - contribute to a strong economy - support the success of working family farms and ranches - replenish and safeguard Florida's freshwater supply designed to promote land conservation through effective education and advocacy, conservation Florida hosts an annual BioBlitz, a citizen science event in which participants log hundreds to thousands of observations. From black bear footprints to native wildflowers, participants ages 18-months to 85 years document an abundance of wildlife on expert-led hikes. Conservation Florida also hosts several educational series throughout the state (or online) in partnership with other entities to educate and inspire communities to support land conservation initiatives. Furthermore, conservation Florida continues to prioritize collaboration, working with a wide array of partners to support statewide land conservation. We continued to advocate for meaningful and consistent funding for land conservation at the state and national levels, meeting with policy and change makers to promote the importance of land protection in Florida.
