The CareSource Foundation is organized and operated exclusively to further the charitable purposes of its supported organization, CareSource, by improving overall community health and addressing health-related issues in the counties in which CareSource operates. The CareSource Foundation improves the lives of the underserved by providing grants to non-profit organizations that can significantly impact individuals and families through a broad array of health and human services and programs. This charitable assistance targets the neediest populations in Ohio, and provides innovative solutions to critical health care needs and creates meaningful collaboration. The CareSource Foundation's mission is to advance the health and well-being of underserved people in the communities CareSource serves by providing innovative solutions and funding to address health care needs.

“The code of regulations was amended to add: (1) that the CareSource Chief Executive Officer shall serve as an ex-officio trustee with voting rights (2) a term limit of three years for trustees except for those who hold the position by virtue of their management position (3) a second vice chair to the board officers (4) a Article V, Section 1 named "Corporate Officers" to outline that the board shall consist of a President, Treasurer, Secretary, and any other officer(s) that the board deems necessary and that individuals may hold more than one position (5) Article V, Section 2 named "Election" to define that the corporate officers shall be elected by the Corporation's sole member (6) Article V, Section 3 named "Term" to define that the corporate officers shall have one year terms with no limit on terms served; will hold office until a successor is elected and/or a resignation is tendered; and an officer may be removed at any time without cause (7) Article VI, Section 3 named "Second Vice Chair" that outlined the second vice chair shall perform the duties of the chair and vice chair if the chair is not present for any reason (8) Article VI, Section 4 named "President" to indicate the President will manage all affairs of the business and perform all duties that are required of him/her. The Articles of Incorporation were amended to change the supported organizations to a class of supported organizations. The class of Supported Organizations includes organizations that: (1) Maintain exemption from federal income taxation under section 501(c)(3) of the Internal Revenue Code of 1986 ("Code"); (2) Maintain classification as a public charity under sections 509(a)(1) or 509(a)(2) of the Code; and (3) Operate in a manner consistent with section 501(c)(3) of the Code for the purpose of addressing the social determinants of health, which include alleviating poverty and reducing barriers that impede access to healthcare.”

“Annually, each director, principal officer, and member of a committee with board-delegated powers ("interested person") shall confirm that they have received a copy of the CareSource Conflicts of Interest policy and have read, understood, and agree to comply with the policy. Interested Persons have an obligation to immediately report any Conflicts of Interest (including any relationships, positions, or circumstances that could contribute to a Conflict of Interest). All relevant information reported through the Conflict-of-Interest Policy will be sent to the Chairman of the Board for review. If the Interested Person with the Conflict of Interest is the Chairman of the Board, then the required disclosure must be provided to the Chief Legal Officer of CareSource. If it is not entirely clear whether a Conflict of Interest exists, then the person with the potential conflict must disclose the circumstances to CareSource's Chief Legal Officer. The Chief Legal Officer will consult with the Corporation's Corporate Compliance Officer or the Chairman of the Board to determine whether there exists a Conflict of Interest that is subject to this policy. Before Board action or other action by the organization on a Transaction that involves a Conflict of Interest, an Interested Person who knows he or she has a Conflict of Interest must have disclosed to the Board all facts material to the Conflict of Interest. The Chairman of the Board may postpone Board or other corporate action on a Transaction until the Interested Person provides written information relating to the Conflict of Interest. An Interested Person who knows he or she has a Conflict of Interest must not participate in the Board's discussion of the Transaction except to disclose material facts and respond to questions. The Interested Person must not attempt to influence the Board's action on the Transaction, either at or outside the meeting.
