Mission

The CareSource Foundation is organized and operated exclusively to further the charitable purposes of its supported organization, CareSource, by improving overall community health and addressing health-related issues in the counties in which CareSource operates. The CareSource Foundation improves the lives of the underserved by providing grants to non-profit organizations that can significantly impact individuals and families through a broad array of health and human services and programs. This charitable assistance targets the neediest populations in Ohio, and provides innovative solutions to critical health care needs and creates meaningful collaboration. The CareSource Foundation's mission is to advance the health and well-being of underserved people in the communities CareSource serves by providing innovative solutions and funding to address health care needs.

Governance Explanations

Form 990, Part VI, Section B, Question 11B

The Form 990 was provided to the organization's Finance committee, and was reviewed during the course of a special board meeting prior to the time of filing Form 990. The Form 990 was made available to each voting member of the governing body of the organization for their review prior to the time of filing the Form 990. The Form 990 was reviewed by the CEO, CFO, VP, Treasury, an outside CPA firm, outside legal counsel, and by general counsel prior to filing with the IRS.

Form 990, Part VI, Section B, Question 12C

Annually, each trustee, principal officer and member of a committee with Board-delegated powers ("interested person") shall sign a statement which affirms that such person a) has received a copy of the conflicts of interest policy, b) has read and understands the policy, c) has agreed to comply with the policy, and d) understands that the organization is a charitable organization and that in order to maintain its federal tax exemption it must engage primarily in activities which accomplish one or more of its tax-exempt purposes. In connection with any actual or possible conflicts of interest, an interested person must disclose the existence of his or her financial or conflict of interest and must be given the opportunity to disclose all material facts to the directors and members of committees with Board delegated powers considering the proposed transaction or arrangement. After disclosure of the financial interest and all material facts, and after any discussion with the interested person, he/she shall leave the Board or committee meeting while the determination of a conflict of interest is discussed and voted upon. The remaining Board or committee members shall decide if a conflict of interest exists. An interested person may make a presentation at the Board or committee meeting, but after such presentation, he/she shall leave the meeting during the discussion of, and the vote on, the transaction or arrangement that results in the conflict of interest. The conflicted trustee has no vote on the matter involved with the conflict of interest. At the beginning of each Board Meeting and Committee Meeting, the Board Members and Committee Members are asked to disclose if they have a Conflict of Interest on any item contained in the agenda. In addition, the Board Members and Committee Members are also asked to inform the board chair if a Conflict of Interest arises during the course of the Board or Committee Meeting. When such a conflict is disclosed, then the procedure outlined above is implemented. In addition, a Conflict of Interest Schedule is kept with respect to each declared Conflict of Interest during the course of a Board or Committee meeting. On an annual basis, the Nominating and Governance Committee reviews each Conflict of Interest raised by a Board or Committee Member. Also, the Nominating and Governance Committee conducts a bi-annual evaluation of the Board Members' performance during the course of the Board Meetings and Committee Meetings. The review includes but is not limited to the Board Member's engagement, participation, contributions to board business, attendance, and any absence from a meeting due to a conflict of interest. The Conflicts of Interest declared by the Board Members are reviewed on an annual basis by the Nominating and Governance Committee to make sure all policies on Conflict of Interest are adhered to by the Boards, the Committees and the Individual Board or Committee Member.

Form 990, Part VI, Section B, Q 15A and 15B; Schedule J, Part I

The Executive Compensation Committee consists of Board Members who are Independent. The process used to determine compensation for the individuals listed on Part VII and Schedule J, Part II include a review by the Independent Board Members after they have received a report of comparability data prepared by an independent company surveying data for comparable organizations' reasonable compensation. The comparability data is presented to the Independent Board members in a written document in advance of the meeting and the independent comparability study is presented by the author of the study during the course of the meeting. In addition, the minutes of each meeting are prepared, distributed and signed within 30 days of the Executive Compensation Committee Meeting. The Executive Compensation Consultant does no other business with the CareSource Family of Companies other than determining the reasonableness of compensation. This compensation consultant's independence is reviewed on an annual basis. This process is followed with respect to all employed corporate officers and the top executives of the CareSource Family of Companies, in order to establish reasonable executive compensation.

IRS990/Desc0The CareSource Foundation provides opportunities to advance innovative solutions and address health care needs of the underserved through grants, outreach, medical expertise, strategic community partnerships and volunteerism. The Foundation funds responsive grants for targeted areas of need, which are given to individual non-profit organizations or a collaboration of non-profits. Funding is in the following priority areas: (1) Children's health, including critical health trends, children in poverty, and access to care, (2) crisis support for women and children, including domestic violence, child abuse, and homelessness, and (3) special needs populations, including the elderly, and those with disabilities. The CareSource Foundation also funds signature grants with numerous regional, state and/or national partners all focused on creating sustainable, high-impact change. The CareSource Foundation funded the following signature grants in 2015: (1) A $250,000 grant to Brigid's Path to fund a residential treatment center for babies born with addiction issues; (2) A $85,000 grant was awarded to Local Matters to fund the CareSource Community Kitchen with a focus on nutrition for families in extreme poverty in Columbus. Funding for this signature grant will occur over a two-year period beginning in 2015; (3) A $100,000 grant to United Rehabilitation Services ("URS") of Greater Dayton to support critical on-site services for children and adults with expanded needs for clinical care during their stay at URS. Funding for this signature grant will occur over a two-year period beginning in 2015; (4) A $175,000 grant to Strategies to End Homelessness to provide collaborative and coordinated models for addressing the homeless system in Cincinnati including emergency housing, street outreach and community coordination. Funding for this signature grant will occur over a two-year period beginning 2015. In addition to these signature grants, $1,061,500 was provided for responsive grants to a variety of health/human service nonprofit organizations throughout the 88 counties in Ohio. This resulted in a total CareSource Foundation investment of $2,347,500 in 2015 through grant funding. In 2015, The CareSource Foundation funded second half grants for the following grants awarded in a prior year: (1) $120,000 to The Dayton Foundation to help create Dayton Works (now Miami Valley Works) to empower people in poverty to achieve self-sufficiency through long-term employment and career development. Miami Valley Works' vision is to eliminate chronic generational poverty in Dayton, Ohio ; (2) $110,000 to Interfaith Hospitality Network to provide essential supportive services for the formerly/potentially homeless population being served at Mulberry Terrace in Springfield, Ohio. The 34-unit complex is the first of its kind in Springfield to offer a range of services on site that are aimed at helping people fight homelessness. Onsite at Mulberry Terrace is a community health center that provides case management services to every resident, ensuring access to behavioral and physical health services, all aimed at assisting individuals and families sustain their housing. The CareSource Foundation grant will support on-site Case Management, a Service Coordinator and Mental Health Therapy in collaboration with Rocking Horse Clinic; (3) $75,000 to Ohio Health Foundation to expand the Wellness on Wheels mobile health clinic in Columbus, Ohio with a goal of reducing infant mortality in low-income populations; (4) $109,000 to Cincinnati Children's Hospital Medical Center to support the CHECK Foster Care Clinic. The CHECK Foster Care Clinic helps coordinate health care for foster youth, particularly those who are aging out of the Foster Care system, and who are at-risk of critical health and life issues; (5) $75,000 to The Dayton Foundation to support the Montgomery County Ohio College Promise program which will help low-income students get into and through college. THESE INVESTMENTS TARGET THE NEEDIEST POPULATIONS IN OHIO, AND PROVIDE INNOVATIVE SOLUTIONS TO CRITICAL HEALTH CARE NEEDS AND CREATE MEANINGFUL COLLABORATION.
