“The foundation's board of directors has power and authority to elect half of the directors. The remaining directors are appointed by the board of directors of the carecenter. Each director is entitled to one vote. The chief executive officer of hospice & palliative carecenter and the president of the hospice foundation serve as ex-officio members without voting rights.”

“Form 990 review process: when the form is received from the preparing accounting firm, the entire form is reviewed by the finance deparment of hospice & palliative carecenter. This review consists of checks for reasonableness and differences in information reported to preparing accounting firm and final document. A final copy is forwarded to the hospice foundation board of directors after filing.”

“All members of the board of directors are required to annually sign a statement disclosing whether they are engaged in any activities that could be a conflict of interest. If there are matters disclosed, board members would recuse themselves from voting on any board actions related to those matters.”
