Each director is entitled to one vote. The chief executive officer of hospice & palliative carecenter and the president of the hospice foundation serve as ex-officio members without voting rights.”

“Form 990 review process: when the form is received from the preparing accounting firm, the entire form is reviewed by the executive director of the foundation and by the president/ceo of hospice & palliative carecenter. This review consists of checks for reasonableness and differences in information reported to preparing accounting firm and final document. A final copy is forwarded to the hospice foundation board of directors after filing.”

If there are matters disclosed, board members would recuse themselves from voting on any board actions related to those matters.”
