Any governor or officer as to whom a matter coming before the board of governors or a committee on which such the governor or officer sits, which may consititute a conflict of interest shall so indicate at or prior to the time such matter is being considered to the board of governors or executive director. The board member is excused from the discussion and voting on that particular matter.

The board of governors established a human resource committee that has the responsibility for all employee compensation, benefits and related employee matters. The committee shall consist of the chairperson, president, vice president and two other board of governors. The chief executive officer shall serve as an advisor to the committee. Every 5 years or less the board of governors authorizes the human resource committee to engage an independent human resource consulting firm to provide a comprehensive compensation and benefit study with the objective to recommend fair and competitive compensation ranges for all positions and benefits that align with the strategic mission and vison. Annually, the ceo's salary is determined and approved by the human resource committee and is documented in the human resource committee minutes.

FORM 990, PART X, QUESTION 2B:

Mhi's financial statements are not audited on a consolidated basis with the affiliated associations. Rather, they are combined financial statements that include the industry groups and affiliated associations. Industry groups are committees established by mhi with internally designated funds. Five incorporated associations are affiliated with mhi but represent separate legal entities, which are under common management with mhi.

Financial Statement Notes

PART X, LINE 2:

Mhi is exempt from federal and state income taxes on income related to its tax-exempt purpose under section 501(c)(6) of the internal revenue code (the "code") and applicable state statutes. Mhi is liable for federal and state taxes on any unrelated business income, as defined in the code. Mhi follows financial accounting standards board ("fasb") guidance on accounting for uncertainty in income taxes. Mhi's policy is to record a liability for any tax position taken that is beneficial to mhi, including any related interest and penalties, when it is more likely than not the position taken by management with respect to a transaction or class of transactions will be overturned by a taxing authority upon examination. Management believes there are no such positions as of december 31, 2014 and 2013, and, accordingly, no liability has been accrued. Income tax returns filed prior to the year ended december 31, 2011 are no longer subject to audit by the taxing authorities.
