Governance Explanations

Form 990, Part VI, Section A, Line 2

Mark j. Plotkin, ph.d., president, has a family relationship with liliana madrigal, executive vice president & board director.

Form 990, Part VI, Section B, Line 11B

Act delegates the responsibility of reviewing the federal form 990 to its board finance committee. The cfo receives a copy of the completed federal form 990 draft for review, and if any corrections are required, these revisions are submitted to the external tax team. In addition, members of the finance committee, the president and the chairman of the board receive a copy via email of the draft form for final review. Finally, all board members receive a copy via email of the completed federal form 990 prior to filing with the internal revenue service.

Form 990, Part VI, Section B, Line 12C

The board of directors annually reviews the conflict of interest policy and discloses any potential conflict of interest. All act officers, key employees and board of directors sign a conflict of interest disclosure statement annually. The signed documents are reviewed by the board governance committee and kept by the cfo. The conflict of interest policy is always taken into consideration when there is the potential for conflict, particularly when signing new contracts or beginning new relationships. Any possible appearance of conflict of interest that arises in the course of business is researched to determine the existence of a real conflict. If a contract is to be made with a related party, it is disclosed to the board of directors and a vote is taken. If act staff members identify a conflict of interest, the cfo shares this information with the executive committee of the board for its action. Board members are precluded from voting on matters for which a conflict exists.

Form 990, Part VI, Section B, Line 15

The board of directors or compensation committee shall review and approve the compensation arrangements for the board of directors or compensation committee shall review and approve the compensation arrangements for act officers and key employees. Compensation of act officers and key employees is near median for similar positions at comparable nonprofit organizations. To determine appropriate compensation, act relies on compensation levels paid by similar nonprofit organizations for comparable roles in the geographic area. Compensation surveys and studies compiled by independent firms are also utilized to benchmark compensation. And, in the case of executive officers, act also occasionally enlists the services of independent compensation consultants. The last version of the nonprofit salary survey report from professionals for nonprofits used by act to determine compensation was in 2024 and was a free public survey. The board or compensation committee shall contemporaneously document the basis for its compensation determination, including documenting: the agreed-upon terms and date of approval; the members of the board or compensation committee who: (a) were present during debate on the compensation arrangement and (b) voted on the compensation arrangement; and the comparability data obtained and relied upon and how such data was obtained.

Form 990, Part VI, Section C, Line 19

Act's governing documents, including bylaws, articles of incorporation, and board-adopted policies, are available to the public upon request by emailing [email protected]. Act's independent audited financial statements are available online at www.amazonteam.org and through nonprofit reporting/evaluation websites such as guidestar.

IRS990/ProgSrvcAccomActy2Grp/Desc0GOVERNANCE AND CULTURE -IN COLLABORATION WITH THE AGUSTN CODAZZI GEOGRAPHIC INSTITUTE (IGAC)THE ENTITY OF THE GOVERNMENT RESPONSIBLE FOR PRODUCING THE NATION'S OFFICIAL MAPSACT HAS HELPED INTEGRATE INDIGENOUS PLACE NAMES INTO OFFICIAL GEOGRAPHIC DATABASES, AN IMPORTANT OFFICIAL RECOGNITION OF THE VALUE OF LOCAL INDIGENOUS KNOWLEDGE AND A WAY TO HELP PRESERVE INDIGENOUS LANGUAGE, IDENTITY, AND TRADITIONAL CULTURAL RELATIONSHIP WITH THE TERRITORY. IN 2024, WITH ACT'S FACILITATION, TRADITIONAL LEADERS OF THE COFN PEOPLES OF THE PUTUMAYO DEPARTMENT MAPPED 40 CULTURALLY IMPORTANT PLACE NAMES IN THEIR TERRITORY, INFORMATION NOW AVAILABLE IN AN INTERACTIVE, OFFLINE-ENABLED MAPPING PLATFORM THAT PRESENTS LOCAL COMMUNITY KNOWLEDGE ABOUT THEIR TERRITORIES THROUGH INTEGRATED AUDIO, VIDEO, PHOTOS AND TEXT. -IN FRENCH GUIANA, IN 2024, WITH ACT'S GUIDANCE AND SUPPORT, ORAL HISTORIES WERE COLLECTED FOR ALUKU AND WAYANA COMMUNITIES RESIDING IN BORDER VILLAGES.-IN THE VILLAGE OF URUNAI IN AN EXTREMELY REMOTE REGION OF NORTHERN BRAZIL, ACT IS GUIDING THE DEVELOPMENT OF AN INDIGENOUS MEDICINE PROGRAM TO HELP DOCUMENT, REVITALIZE, AND TEACH YOUNGER GENERATIONS THE ANCESTRAL HEALING KNOWLEDGE OF THEIR PEOPLE. CENTRAL TO THAT EFFORT WAS CONSTRUCTION OF AN INTERCULTURAL HEALTH CENTER WITH BOTH WESTERN AND TRADITIONAL MEDICINE TREATMENT WINGS AND SPACE FOR MEETINGS AND WORKSHOPS. IN OCTOBER 2024, THE CENTER WAS INAUGURATED. SIX TO SEVEN COMMUNITIES LIVING ALONG THE MARAPI RIVER WILL BE SERVED BY APPROXIMATELY 40 HEALTH APPRENTICES WORKING OUT OF THE URUNAI VILLAGE CENTER. -IN NOVEMBER 2024, IN BRAZIL'S CUI CUI INDIGENOUS TERRITORY, THE MIRANHA PEOPLE FROM BRAZIL AND COLOMBIA HAD THEIR FIRST TRANSBOUNDARY EXCHANGE, SPONSORED BY ACT. DURING THE COLONIAL ERA, MANY MIRANHA WERE FORCED TO MOVE FROM COLOMBIA TO BRAZIL BECAUSE OF THE RUBBER TRADE, CAUSING THEM TO LOSE THEIR NATIVE LANGUAGE. SINCE DECEMBER 2023, THE MIRANHA GROUP HAS BEEN WORKING ON A PROJECT CALLED "STRENGTHENING HISTORY, CULTURE AND RESCUE OF THE MOTHER TONGUE" WITH ACT AND OTHER PARTNERS. THE MAIN GOALS ARE TO RECOVER THEIR NATIVE LANGUAGE, RECONNECT WITH THEIR HISTORY, AND STRENGTHEN THEIR CULTURE AND GOVERNANCE.
