Form 990, Part VI, Section B, Line 11B

The joint audit committee, a standing committee of the board of trustees, completes a comprehensive and interactive review of the final draft form 990 after the form 990 has been reviewed by management. Subsequent to review by the joint audit committee and prior to filing, the form 990 is distributed electronically to all members of the governing board for their review and comment.

Form 990, Part VI, Section B, Line 12C

The organization's conflict of interest policy and code of conduct are included in its written corporate compliance policy. All members of the governing body and all members of staff are expected to know and abide by the corporate compliance policy. Each member of the governing body and each member of the executive team completes an annual conflict of interest statement. Should a potential conflict exist with an entity with which the organization is not currently doing business, the person with the conflict would be expected to disclose it prior to any proposed transactions, and to absent him/herself from discussion and from voting on such proposed transaction.

Form 990, Part VI, Section B, Line 15

Compensation is paid by goodwin living incorporated, a related organization. Goodwin living incorporated uses an indepedent compensation consultant, comparative compensation studies, and the form 990 of other organizations to establish compensation for officers and key employees. We also recently purchased a product that allows us to benchmark the market. The executive committee of the board of trustees conducts an annual review of the performance and compensation of the president and ceo; results of the performance review and wage analysis are shared with the full board, and the board of trustees establishes the compensation of the president and ceo based on the data presented. On a regular (not annual) basis, an outside consultant is retained to evaluate the wages of other key employees, such as wages of the cfo, coo, chief philanthropy officer, chief people officer, chief business development officer and chief marketing & strategy officer. Most recent study is from september 2023. Another review will occur in the spring of 2024.

Form 990, Part VI, Section C, Line 19

The organization makes its governing documents, conflict of interest policy, and financial statements available upon request.
