Anne d. Stewart and dr. Anthony j. Tambaso are both members of the board and have a family relationship.

Form 990, Part VI, Section A, Line 6

The board of trustees of goodwin living incorporated is the sole member of goodwin living foundation.

Form 990, Part VI, Section A, Line 7A

The board of trustees of goodwin living incorporated, the sole member of goodwin living foundation, has the right to elect the directors of goodwin living foundation. Directors serve three-year terms, with the terms of approximately one-third of such directors to expire each year.

Form 990, Part VI, Section A, Line 7B

The board of trustees of goodwin living, the sole member of goodwin living foundation, has the right to elect the directors of goodwin living foundation and the right to approve by a vote of two-thirds of the trustees then in office amendment to the articles of incorporation and bylaws of goodwin living foundation.

Form 990, Part VI, Section B, Line 11B

The joint audit committee, a standing committee of the board of trustees, completes a comprehensive and interactive review of the final draft form 990 after the form 990 has been reviewed by management. Subsequent to review by the joint audit committee and prior to filing, the form 990 is distributed electronically to all members of the governing board for their review and comment.

Form 990, Part VI, Section B, Line 12C

The organization's conflict of interest policy and code of conduct are included in its written corporate compliance policy. All members of the governing body and all members of staff are expected to know and abide by the corporate compliance policy. Each member of the governing body and each member of the executive team completes an annual conflict of interest statement. Should a potential conflict exist with an entity with which the organization is not currently doing business, the person with the conflict would be expected to disclose it prior to any proposed transactions, and to absent him/herself from discussion and from voting on such proposed transaction.

Form 990, Part VI, Section B, Line 15

The organization uses an indepedent compensation consultant, comparative compensation studies, and the form 990 of other organizations to establish compensation for officers and key employees. We also recently purchased a product that allows us to benchmark the market. The executive committee of the board of trustees conducts an annual review of the performance and compensation of the president and ceo; results of the performance review and wage analysis are shared with the full board, and the board of trustees establishes the compensation of the president and ceo based on the data presented. On a regular (not annual) basis, an outside consultant is retained to evaluate the wages of other key employees, such as wages of the cfo, coo, chief philanthropy officer, chief people officer, chief business development officer and chief marketing & strategy officer. Most recent study is from september 2020. Another review will occur in the spring of 2023.

Form 990, Part VI, Section C, Line 19

The organization makes its governing documents, conflict of interest policy, and financial statements available upon request.

THE RESIDENT SUPPORT PROGRAM COVERS THE MONTHLY FEES OF THOSE RESIDENTS WHO HAVE OUTLIVED THEIR RESOURCES, THROUGH NO FAULT OF THEIR OWN. THESE FEES COVER HOUSING, MEALS, MEDICAL CARE, AND THE VARIOUS PROGRAMMING OFFERED THROUGH GOODWIN HOUSE ALEXANDRIA AND GOODWIN HOUSE BAILEY'S CROSSROADS. THE RESIDENT SUPPORT PROGRAM ALSO COVERS FINANCIAL NEEDS FOR THOSE RESIDENTS WHO CAN PAY THEIR MONTHLY FEES, BUT WHO CANNOT AFFORD UNEXPECTED CERTAIN EXPENSES SUCH AS A DENTAL SURGERY OR A VISION-SAVING EYE SURGERY. THE RESIDENT SUPPORT PROGRAM IS AT THE HEART OF THE MISSION OF GOODWIN LIVING AND ENABLES OLDER ADULTS IN NEED OF FINANCIAL SUPPORT TO LIVE WITH THE PEACE OF MIND THAT THEIR HOUSING, SERVICE, AND CARE NEEDS WILL ALWAYS BE MET. THIS PEACE OF MIND EXTENDS TO THE FAMILY MEMBERS OF OUR RESIDENT RECIPIENTS AS WELL. IN FISCAL YEAR (FY) 2022, THE FOUNDATION GRANTED $461,913 TO GOODWIN LIVING INCORPORATED TO PROVIDE FOR RESIDENT SUPPORT RECIPIENTS. GOODWIN LIVING FOUNDATION PROVIDED 100% OF THE RESIDENT SUPPORT PROGRAM EXPENSES FOR FY 2022. IRS990/ProgSrvcAccomActy2Grp/Desc0GOODWIN LIVING RESIDENT ENGAGEMENT (SEE SCHEDULE O). WITH INCREASED STAFFING FOR BRAIN HEALTH, WE WERE ABLE TO OFFER THE STRONGERMEMORY CURRICULUM COMPLIMENTARY TO THOUSANDS OF INDIVIDUALS WITHIN AND OUTSIDE OF OUR COMMUNITY TO THOSE EXPERIENCING COGNITIVE DECLINE. THE CHAPELS ON EACH CAMPUS ALSO WERE SUPPORTED THROUGH THIS GENEROSITY. IRS990/ProgSrvcAccomActy3Grp/Desc0GOODWIN LIVING STAFF SUPPORT (SEE SCHEDULE O).THE FOUNDATION WORKED DILIGENTLY TO PARTNER WITH ITS DONORS TO SUPPORT OUR TEAM MEMBERS AS WELL. THROUGH AN INCREDIBLE OUTPOURING OF GENEROSITY, WE WERE ABLE TO PROVIDE $470,357 IN FUNDING FOR TEAM MEMBERS AND THEIR FAMILIES. WE ALSO PARTNERED WITH A LOCAL COMMUNITY COLLEGE TO INCREASE THE NUMBER OF NURSING STUDENTS AVAILABLE IN OUR EMPLOYMENT. SOME OF THAT SUPPORT CAME IN TUITION ASSISTANCE GRANTS AND LEADERSHIP OPPORTUNITIES ($201,661) FUNDED 84 STUDENTS IN THEIR EDUCATIONAL JOURNEYS. ALSO, WE WERE ABLE TO SUPPORT AGAIN A COHORT OF TEAM MEMBERS FOR THE ADVANCED CERTIFIED NURSING ASSISTANCE CAREER LEADERSHIP TRAINING AND ADVANCED CERTIFICATION. NEW THIS YEAR WAS THE ADDITIONAL FUNDING GRANTED FOR CHILDREN OF OUR TEAM MEMBERS TO RECEIVE SUPPORT FOR THEIR HIGHER EDUCATION. 47 CHILDREN OF TEAM MEMBERS RECEIVED GRANTS OF $1,000 EACH TO EASE THE BURDEN OF EDUCATIONAL COSTS FOR A TOTAL OF $47,000. THIS BENEFIT WAS RECEIVED EXTREMELY WELL IN OUR COMMUNITY BECAUSE MANY OF OUR TEAM MEMBERS HAVE COMPLETED THEIR FORMAL EDUCATION YET HAVE A STRONG DESIRE TO SUPPORT THEIR CHILDREN THROUGH COLLEGE. OTHER CONTRIBUTIONS WERE USED TO PROVIDE FOR THE U.S. CITIZENSHIP APPLICATION FEE PROGRAM SUPPORTING 17 OF OUR STAFF MEMBERS AND 8 OF THEIR FAMILY MEMBERS, TOTALING $20,423. THIS ALSO PROVIDED COURSE MATERIALS FOR OUR RESIDENT TUTORS WHO HELP OUR TEAM MEMBERS PREPARE FOR THEIR NATURALIZATION TEST AND INTERVIEW. WE BELIEVE THIS IS AN IMPORTANT PROGRAM GIVEN THAT ONE IN FOUR OF OUR STAFF MEMBERS ARE FOREIGN BORN AND MANY WISH TO PURSURE U.S. CITIZENSHIP, BUT ARE HINDERED BY THE HIGH COSTS IN FEES. MANY MEMBERS OF OUR TEAM CONTINUED TO EXPERIENCE SEVERE FINANCIAL DIFFICULTIES DUE TO THE PANDEMIC. WE WERE ABLE TO OFFER SOME HOPE BY OFFERING APPROXIMATELY $40,000 IN FOOD ASSISTANCE FOR OUR STAFF AS WELL AS PROVIDE FOR EMERGENCY ASSISTANCE GRANTS TOTALING $105,074. THESE GRANTS HELPED TO SUPPORT TEAM MEMBERS WITH OVERDUE MEDICAL BILLS, UNEXPECTED CAR REPAIRS, AND ASSISTANCE WITH RENT UNDER DIRE CIRCUMSTANCES. THIS ASSISTANCE PROVIDED COMFORT TO THOSE IN NEED AND ALLOWED THEM TO CONTINUE SERVING ALONGSIDE OUR RESIDENTS WITH DIGNITY AND THEIR EXCEPTIONAL STANDARDS OF PROFESSIONALISM AND COMPASSION. THROUGH THE ANDERSON FUND, THE FOUNDATION WAS ABLE TO PROVIDE OVER $20,000 IN STUDENT LOAN REPAYMENT FOR SEVERAL TEAM MEMBERS AND ALSO TO INTRODUCE HIGH SCHOOL AND COLLEGE INTERNS TO GOODWIN LIVING. THESE INTERNS HAD VALUABLE EXPERIENCES THAT PROVIDED THEM THE OPPORTUNITY TO WITNESS THE STRONG CULTURE OF WELCOME AND COMMUNITY AT OUR ORGANIZATION AND ALSO TO LEARN ABOUT THE FIELD OF SENIOR LIVING. AFTER COMPLETION OF THE INTERNSHIP PROGRAM, WHERE THEY WERE PAIRED WITH RESIDENT MENTORS, MANY SAID THEY WANTED TO PURSUE A CAREER IN SENIOR LIVING, AND SOME WANTED TO SEEK EMPLOYMENT WITH GOODWIN LIVING WHEN THEY FINISHED SCHOOL!WHEN WE WELCOMED THE VIEW ALEXENDRIA (FORMERLY THE HERMITAGE) INTO THE GOODWIN LIVING FAMILTY, THE FOUNDATION RECEIVED $272,610 IN RESTRICTED FUNDS FOR THE VIEW ALEXANDRIA, WITH THE MAJORITY OF FUNDS DESIGNATED FOR RESIDENT SUPPORT THERE.
