Governance Explanations

Form 990, Part VI, Section A, Line 6

The board of trustees of goodwin house incorporated is the sole member of goodwin house foundation.

Form 990, Part VI, Section A, Line 7A

The board of trustees of goodwin house incorporated, the sole member of goodwin house foundation, elects the directors of goodwin house foundation. Directors serve three-year terms, with the terms of approximately one-third of such directors to expire each year.

Form 990, Part VI, Section A, Line 7B

The board of trustees of goodwin house incorporated, the sole member of goodwin house foundation, has the right to elect the directors of goodwin house foundation and the right to approve by a vote of two-thirds of the trustees then in office amendment to the articles of incorporation and bylaws of goodwin house foundation.

Form 990, Part VI, Section B, Line 11B

The joint audit committee, a standing committee of the board of trustees, completes a comprehensive and interactive review of the final draft form 990 after the form 990 has been reviewed by management. Subsequent to review by the joint audit committee and prior to filing, the form 990 is distributed electronically to all members of the governing board for their review and comment.

Form 990, Part VI, Section B, Line 12C

Form 990, part vi, section b, line 12c: the organization's conflict of interest policy and code of conduct are included in its written corporate compliance policy. All members of the governing body and all members of staff are expected to know and abide by the corporate compliance policy. Each member of the governing body and each member of the executive team completes an annual conflict of interest statement. Should a potential conflict exist with an entity with which the organization is not currently doing business, the person with the conflict would be expected to disclose it prior to any proposed transactions, and to absent him/herself from discussion and from voting on such proposed transaction.

Form 990, Part VI, Section B, Line 15

The officers and key employees of the organization are paid by goodwin house incorporated, a related organization. Goodwin house incorporated uses an independent compensation consultant, comparative compensation studies, and the form 990 of other organizations to establish compensation for officers and key employees. The executive committee of the board of trustees conducts an annual review of the performance and compensation of the president and ceo; results of the performance review and wage analysis are shared with the full board, and the board of trustees establishes the compensation of the president and ceo based on the data presented. Annually, the ceo engages an outside consultant to evaluate the wages of the cfo, executive directors, corporate director of human resources and vp of marketing and mission expansion. The executive committee approves significant changes in executive compensation. Compensation for the 2019 calendar year was reviewed in 2019.

Form 990, Part VI, Section C, Line 19

The organization makes its governing documents, conflict of interest policy, and financial statements available upon request.

IRS990/ProgSrvcAccomActy2Grp/Desc0GOODWIN HOUSE RESIDENT AND STAFF PROGRAMS (SEE SCHEDULE O.)THROUGH THE GENEROSITY OF RESIDENTS, FAMILY MEMBERS, STAFF, FRIENDS, AND ORGANIZATIONS WHO WISHED TO PARTNER WITH OUR MISSION, THE FOUNDATION WAS ABLE TO PROVIDE ADDITIONAL SUPPORT TO OUR COMMUNITY IN A MYRIAD OF WAYS. THIS WAS ESPECIALLY CRUCIAL IN WHAT BECAME AN UNPRECEDENTED YEAR DUE TO THE PANDEMIC.IN ORDER TO ENHANCE RESIDENT ENGAGEMENT AND FACILITATE CONNECTIONS WITH LOVED ONES, WE PROVIDED APPROXIMATELY $195,000 ($194,441) FOR RESIDENT PROGRAMMING. THIS INCLUDED AREAS SUCH AS MUSICAL ENTERTAINMENT AND THERAPY, PLANT THERAPY, CLINICAL PASTORAL EDUCATION SUPPORT, ENHANCED TECHNOLOGY FOR VIRTUAL VISITS AND COGNITIVE AND PHYSICAL EXERCISES. THE CHAPELS ON EACH CAMPUS ALSO WERE SUPPORTED THROUGH THIS GENEROSITY AND THE GHA CHAPEL OUTREACH COMMITTEE MADE SOME ONE-TIME SIGNIFICANT GIFTS TO THOSE IN NEED IN THE COMMUNITY.THE FOUNDATION WAS ABLE TO PROVIDE $126,958 IN FUNDING TO THE HOSPICE AND PALLIATIVE CARE PROGRAM, WHICH ENABLED MUCH NEEDED SUPPORT FOR MANY OF THE PATIENTS IN THEIR CARE AS WELL AS PROFESSIONAL DEVELOPMENT FOR THE TEAM MEMBERS. THE TEAM WAS ABLE TO PROVIDE THERAPIES AND EQUIPMENT TO ENHANCE COMFORT FOR THEIR PATIENTS WHEN NEEDED. GIFTS MADE TO THE PALLIATIVE CARE AND HOSPICE PROGRAM ARE USEDTO PROVIDE CARE THAT IS NOT COVERED BY INSURANCE, AS WELL SUPPORT FORRESIDENTS AND FAMILIES, AND EDUCATION FOR STAFF. GIVEN THE PANDEMIC, THE FOUNDATION WORKED DILIGENTLY IN PARTNERSHIP WITH ITS DONORS TO RALLY AROUND THE TRUE HEROES OF THIS PAST YEAR, OUR STAFF MEMBERS. THROUGH AN INCREDIBLE OUTPOURING OF GENEROSITY, WE WERE ABLE TO PROVIDE $551,046 IN FUNDING FOR STAFF MEMBERS. SOME OF THAT SUPPORT CAME IN TUITION ASSISTANCE, STUDENT LOAN REPAYMENT GRANTS AND LEADERSHIP OPPORTUNITIES. $158,129 FUNDED 75 STUDENTS IN THEIR EDUCATIONAL JOURNEYS, $20,000 WAS PROVIDED FOR DEPARTMENTAL GRANTS AND LEADERSHIP OPPORTUNITIES, AND $10,000 WAS PROVIDED FOR 10 STUDENT LOAN REPAYMENT GRANTS OF $1,000 EACH.OTHER CONTRIBUTIONS WERE USED TO PROVIDE THE U.S. CITIZENSHIP APPLICATION FEES FOR 21 OF OUR STAFF MEMBERS, TOTALING $15,200. WE BELIEVE THIS IS AN IMPORTANT PROGRAM GIVEN THAT ONE IN FOUR OF OUR STAFF MEMBERS ARE FOREIGN BORN AND WISH TO PURSUE US CITIZENSHIP, BUT ARE HINDERED BY THE HIGH COST IN FEES.FINALLY, WE RECOGNIZED THAT MANY MEMBERS OF OUR STAFF WERE EXPERIENCING SEVERE FINANCIAL DIFFICULTIES DUE TO THE PANDEMIC. ALL EMPLOYEES WERE ASKED TO GIVE UP SECOND JOBS TO MINIMIZE THE RISK OF COVID COMING INTO THE COMMUNITIES. THIS LOSS OF INCOME WAS MADE WORSE WHEN MANY HAD FAMILY MEMBERS WHO ALSO LOST JOBS DUE TO COVID. THERE WAS NEED FOR ADDITIONAL CHILDCARE FOR MANY, AND THE LOSS OF INCOME PUT UNEXPECTED FINANCIAL BURDENS AND PRESSURE ON MANY OF OUR STAFF MEMBERS. WE WERE ABLE TO OFFER SOME HOPE BY OFFERING APPROXIMATELY $60,000 IN FOOD ASSISTANCE FOR OUR STAFF AS WELL AS PROVIDE FOR 551 EMERGENCY ASSISTANCE GRANTS TOTALING $286,983. THIS ASSISTANCE PROVIDED COMFORT TO THOSE IN NEED AND ALLOWED THEM TO CONTINUE SERVING ALONGSIDE OUR RESIDENTS WITH DIGNITY AND THEIR EXCEPTIONAL STANDARDS OF PROFESSIONALISM AND COMPASSION.
