The mission of the retail solutions providers association (rspa) is to accelerate the success of our members in the retail technology ecosystem by providing knowledge and connections. Rspa members include value-added resellers, software developers, hardware vendors, payment processors, distributors, and service providers who serve the retail, restaurant, and grocery markets.

Governance Explanations

Form 990, Page 6, Part VI, Line 1A

Rspa has an executive committee consisting of four members (four rspa officers: chair, past chair, incoming chair, secretary/treasurer). The executive committee exercises all powers of the full board of directors when the board is not in session. Actions taken by the executive committee are reported to the full board at the next board meeting and are subject to full board review.

Rspa has the following classes of members: voting members are active retail technology value-added resellers, software developers, hardware vendors, payment processors, distributors, and service providers. Lifetime members are individuals who have made significant contributions to rspa and to the industry as recognized by a majority vote of the board. Associate members are individuals who have retired, individuals currently not employed as a voting member, and entities and individuals not otherwise eligible for membership that provide services and support to the voting members.

The rspa officers and board of directors are elected by the voting members. A nominating committee is in charge of preparing the proposed slate of officers and directors to be considered for election.

A majority vote of voting members in good standing is required to amend the rspa bylaws or make assessments. In between annual membership meetings, the board may amend the bylaws, subject to ratification by the voting members at the next membership meeting.

The organization's form 990 is prepared by an outside accounting firm. Draft returns are reviewed by management before the returns are filed.

The ceo job description was aided in part by the consulting firm of mckinley advisors and was approved by the rspa executive committee. Compensation for the prior ceo (john kirk) was determined by the executive committee after consulting the center for association leadership guide, and compensation for the current ceo (jim roddy) was determined by the executive committee and was in line with mr. Kirk's pay. The center for association leadership guide offered such variables as organization size and revenue. It further segmented compensation by percentile and distinguished between professional associations and trade associations.

Membership - rspa provides its members numerous resources to help them accelerate their success in the retail technology industry. These services are provided by the rspa staff and third parties. Among the most utilized member services are: member special interest communities, legal assistance through the rspa general counsel, security guidance through the rspa security advisor, the rspa academy excelerate online learning platform, promotion through content published on the rspa website and in the rspa community connection email newsletter, and member-to-member connections through the rspa member directory and introductions through rspa member services managers. In fy22, rspa attracted 147 new members, experienced a 98% member-renewal rate, and received a net promoter score of 76 through its member survey.

IN FY22, RSPA ATTRACTED 147 NEW MEMBERS, EXPERIENCED A 98% MEMBER-RENEWAL RATE, AND RECEIVED A NET PROMOTER SCORE OF 76 THROUGH ITS MEMBER SURVEY.

ASSOCIATE MEMBERS ARE INDIVIDUALS WHO HAVE RETIRED, INDIVIDUALS CURRENTLY NOT EMPLOYED AS A VOTING MEMBER, AND ENTITIES AND INDIVIDUALS NOT OTHERWISE ELIGIBLE FOR MEMBERSHIP THAT PROVIDE SERVICES AND SUPPORT TO THE VOTING MEMBERS.
