Governance Explanations

Form 990, Part VI, Section A, Line 1

Rspa has an executive committee consisting of not less than four or more than six members, including the four rspa officers and two at-large board members, as designated by the chairman. The executive committee exercises all powers of the full board of directors, when the board is not in session. Actions taken by the executive committee are reported to the full board at the next board meeting, and are subject to full board review.

Form 990, Part VI, Section A, Line 6

Rspa has the following classes of members: - voting members: active retail technology solutions dealers, resellers, value added resellers, systems integrators, solutions providers, service providers, hardware manufacturers, and independent software vendors and distributors. - lifetime members: individuals that have made significant contributions to rspa and to the industry, as recognized by a majority vote of the board. - associate members: entities and individuals not otherwise eligible for membership, that provide services and support to the voting members, as well as individuals that have retired or are currently not employed as a voting member.

Form 990, Part VI, Section A, Line 7A

The rspa officers and board of directors are elected by the voting members. A nominating committee, consisting of the board chairman elect, the board chairman, and two additional persons chosen by the chairman and charman-elect from the voting members in good standing, is in charge of preparing the proposed slate of officers and directors to be considered for election during the annual meeting. Nominations may also be taken from the floor, during the annual meeting election process.

Form 990, Part VI, Section A, Line 7B

A majority vote of voting members in good standing is required to amend the rspa bylaws, or make assessments. In between membership meetings, the board may amend the bylaws, subject to ratification by the voting members at the next membership meeting. No member ratification is required for any increase or decrease in the number of directors within the bylaws parameters for directorships.

The organization's form 990 is prepared by an outside accounting firm. Draft returns are reviewed by management before the returns are filed.

Form 990, Part VI, Section B, Line 15A

The center for association leadership guide was utilized in arriving at mr. Kirk's compensation plan. This guide offered variables such as organization size and revenue. It further segmented compensation by percentile and distinguished between professional associations and trade association. The creation of mr. Kirk's job description was aided in part by the consulting firm of mckinley advisors. A search committee composed of the chairman, the chair elect, the secretary treasurer, two past chairs, and a two active board members conducted the ceo search, interview, and recommendation process.
