The corporation shall have one member, and the sole member of the corporation shall be villa corporation. Such member shall have the exclusive right and power to vote on the election, appointment, recall or removal of this corporation's trustees. Such member may recall or remove any trustee with or without cause by a majority vote of the member's board or executive committee.

Prior to submission, the completed form 990 was reviewed in detail by the st. Joseph's villa finance committee. In addition, the forms were distributed electronically to all members of the villa corporation board and st. Joseph's villa board of trustees for their review prior to filing the form 990.

Through coordination between the executive offices and the finance office and close oversight of all trustee activities with st. Joseph's villa, we monitor our conflict of interest policy on a regular basis. Trustees are asked to sign the policy statement annually.

The compensation committee reviews comparable data and performance reviews to determine the compensation package for the ceo. These decisions are documented in the annual employment letter of the ceo. The ceo reviews comparable data and performance reviews for other key officers and discusses compensation recommendations with the chair of the board of trustees, who also leads the compensation committee, to reach final agreement on compensation for these key officers.

Management has evaluated the effects of accounting guidance related to uncertain income tax positions and concluded that the organization had no significant financial statement exposure to uncertain income tax positions at june 30, 2019 and 2018. The organization is not currently under audit by any tax jurisdiction.

JOSEPH'S VILLA ENDED THE SCHOOL YEAR HAVING SERVED 79 INDIVIDUAL STUDENTS FROM 79 FAMILIES OUT OF 102 REFERRALS. DOOLEY SERVED STUDENTS FROM 22 DIFFERENT LOCALITIES THROUGHOUT THE REGION. HENRICO, CHESTERFIELD, AND RICHMOND CITY CONTINUE TO PROVIDE THE BULK OF THE STUDENTS (59% ). ALL DOOLEY SCHOOL STUDENTS MADE PROGRESS ON AT LEAST ONE IEP GOALS AND MOST MADE PROGRESS ON SEVERAL. FOUR OF THE STUDENTS GRADUATED IN JUNE OF 2019 AND 8 STUDENTS COMPLETED THE PROGRAM AND RETURNED TO THEIR HOME SCHOOL FOR THE 2019-2020 SCHOOL YEAR. 90% OF THE STUDENTS SUSTAINED OR IMPROVED GRADES THROUGHOUT THE SCHOOL YEAR. SOL SCORES SHOWED THAT 54% OF THE STUDENTS PASSED THE SOL TEST THEY WERE GIVEN IN MAY, 2019. DOOLEY CENTER FOR ALTERNATIVE EDUCATION, A PROGRAM THROUGH THE RICHMOND METRO GRANT SERVING STUDENTS WHO HAVE BEEN LONG-TERM SUSPENDED OR EXPELLED FROM RICHMOND CITY, HENRICO COUNTY AND HANOVER COUNTY. A TOTAL OF 36 STUDENTS WERE SERVED DURING THE YEAR AND ONLY ONE STUDENT WAS REFERRED BACK TO THE LOCALITY DUE TO NON-COMPLIANCE. 60% OF THE STUDENTS SUSTAINED OR MAINTAINED GRADES THROUGHOUT THE SCHOOL YEAR. A TREND IN SHORTER STAYS WAS NOTED THIS YEAR WITH LOCALITIES SENDING STUDENTS, IN SOME CASES, FOR 30, 60, AND 90 DAYS BUT OTHERS BEING SENT TO THE PROGRAM FOR A FULL SCHOOL YEAR OR LONGER. TEN STUDENTS EARNED A TOTAL OF 50 CREDITS AND 11 STUDENTS RETURNED TO PUBLIC SCHOOL FOR THE 2019-2020 SCHOOL YEAR. BROOK ROAD ACADEMY AT ST. JOSEPH'S VILLA SERVED A TOTAL OF 54 STUDENTS AND ENDED THE YEAR WITH 11 GRADUATING (100% OF SENIORS) WITH STANDARD OR ADVANCED DIPLOMAS. IN GENERAL, IT WAS A VERY POSITIVE YEAR FOR BROOK ROAD ACADEMY. 84% OF THE STUDENTS IMPROVED OR SUSTAINED GRADES AND ALL COMPLETED CLASSES TO RECEIVE CREDITS. BROOK ROAD ACADEMY ALSO SAW AN INCREASE IN POPULATION DIVERSITY WHICH BROUGHT A NEW LEVEL OF SENSITIVITY TO THE SCHOOL. POST GRADUATE PLANS FOR OUR 11 GRADUATES INCLUDE 9 ATTENDING A 2- OR 4-YEAR COLLEGE, TWO ARE PLANNING TO GO DIRECTLY TO WORK AS THEY SEEK OTHER POST-SECONDARY TRAINING. CAREER AND TRANSITION SERVICES (CATS) PREPARES OUR STUDENTS FOR COLLEGE AND THE WORKFORCE, AND CONNECTS THE COMMUNITY TO OUR CAMPUS. CATS SERVED 149 STUDENTS FROM THE VILLA'S EDUCATION PROGRAMS DURING THE 2018-19 SCHOOL YEAR. ELEVEN STUDENTS WERE ACCEPTED INTO COLLEGE OR POST-SECONDARY TRAINING. 3 STUDENTS GOT AND MAINTAINED A JOB. VIRGINIA COMMONWEALTH UNIVERSITY STUDENT MENTORS PROVIDED MORE THAN 1000 VOLUNTEER HOURS WITH OUR STUDENTS BOTH ON-CAMPUS AND AT THE UNIVERSITY. THROUGH OUR ON-CAMPUS WORK TRAINING PROGRAM, CATS PARTICIPANTS AND STAFF PROCESSED OVER 20 TONS OF SHREDDING AND RECYCLABLES IN THE CAMPUS-WIDE RECYCLING PROGRAM, AND PRODUCED 20,282 SNACKS FOR VILLA CLIENTS. CATS PROGRAM ADDED SINCE FEBRUARY THE VILLA GROCERY, THE VILLA SHOPPE AND THE LOADS OF LOVE WASH STATIONS IN PARTNERSHIP WITH THE WASHINGTON REDSKINS CHARITABLE FOUNDATION. WE CONTINUE TO LOOK TO CREATE INNOVATIVE OPPORTUNITIES FOR OUR PARTICIPANTS AND GROW OUR PARTNERSHIP WITH THE COMMUNITY.
