“Following are summary of changes in bylaws: 1. New term limits were introduced, changing from a maximum of two or three 3-year terms (half were eligible for a third term) to a maximum of two 4-year terms (8 years total) with an extension for those in Board leadership positions. 2. In addition, the intent of the new bylaws is to eliminate the former practice of cycling Trustees to Honorary Trustee status and then re-electing them as voting Elected Trustees. 3. The category of Honorary Trustee was replaced with two new categories: Senior Trustee and Lifetime Trustee. 4. Two officer positions, Secretary and Treasurer, may be filled by Trustees (previously, those positions were held exclusively by staff). 5. Board officers have term limits. 6. Committees must have Vice Chairs.”

Tax positions that meet the more likely than not recognition threshold are measured as the largest amount of tax benefit that is more than 50% likely of being realized upon settlement with the applicable taxing authority. The portion of the benefits associated with tax positions taken that exceeds the amount measured as described above is reflected as a liability for unrecognized tax benefits in the accompanying balance sheet, along with any associated interest and penalties that would be payable to the taxing authorities upon examination. Brookings files income tax returns in the U.S. federal jurisdiction. As of June 30, 2017, and for the year then ended, there were no material unrecognized/derecognized tax benefits or tax penalties or interest. Generally, Brookings is no longer subject to U.S. federal income tax examinations by tax authorities for years before 2013.”
