Officers, directors, or staff members abstain from participation in the review of or from voting on any action in which they have a direct or indirect interest. The person having the conflict retires from the room in which the leadership council or board of directors is meeting but provides any and all relevant information. The minutes of the meeting reflect that the conflict of interest was disclosed and that the interested person was not present during the final discussion and did not vote. I agree that i will follow the above guidelines and if in doubt about a situation, i will bring it to the attention of the other officers for clarification.”
