The minutes of the meeting reflect that the conflict of interest was disclosed and that the interested person was not present during the final discussion and did not vote. I agree that i will follow the above guidelines and if in doubt about a situation, i will bring it to the attention of the other officers for clarification. The individual bears the responsiblity for disclosing a conflict of interest. The supervisors and hr monitor the employees conflict of interest and the board of directors monitors the conflict of interest for other board members.”
