The policy states the following: there may be times in your role as a board member that you could encounter a conflict of interest. The following guideline are available to help you in such a situation. "to avoid a conflict of interest, at the time an action or policy is under consideration, each officer and all elected or appointed officials and staff members inform the leadership council or board of directors members of any position currently held or held in the past, of any investment, and of any business or a vocational activity that may result in a possible conflict of interest or bias for or against the particular action or policy. Officers, directors, or staff members abstain from participation in the review of or from voting on any action in which they have a direct or indirect interest. The person having the conflict retires from the room in which the leadership council or board of directors is meeting but provides any and all relevant information. The minutes of the meeting reflect that the conflict of interest was disclosed and that the interested person was not present during the final discussion and did not vote. I agree that i will follow the above guidelines and if in doubt about a situation, i will bring it to the attention of the other officers for clarification."”

“Process for determing compensation of the ceo, executive director, and top management officials: the ascd board of directors' compensation committee (comprised of the board officers) is responsible for reviewing compensation survey data annually. The compensation committee makes a recommendation to the full board of directors. The full board approves the executive director's compensation at the annual board meeting in april 2016. Process for determing compensation for key employees: the senior director, human resources annually reviews the associate executive director's, chief officers', and key staff's compensation using compensation surveys as a benchmark. The senior director, human resources may or may not make a recommendation for equity adjustments based on the survey data. Anchored with the annual salary budget and information from the senior director, human resources, the executive director determines and approves annual increases for the associate executive director, chief officers, and key staff. 2017 was the most recent year in which the process included review and approval by independent persons, comparability data, and contemporaneous substantiation of the deliberation and decision.”
