Governance Explanations

Form 990, Part VI, Section B, Line 11B

The form 990 was prepared by the outside accountants and reviewed by senior management. The audit and finance committees reviewed the 990 public disclosure copy prior to filing. The board was invited to review the 990 public disclosure copy before filing and a copy was provided electronically to all board members before the 990 was filed.

Form 990, Part VI, Section B, Line 12C

The organization annually sends out a conflicts of interest policy to its officers and directors and requests a signed disclosure form from each covered individual. Any disclosed conflict is reviewed by the general counsel. If a conflict does exist on a specific issue, meeting minutes reflect the board action taken to clear the conflict, either by having the affected board member or officer recuse themselves from the discussion or vote or remove themselves from all deliberations. A conflict of interest policy also applies to employees.

Form 990, Part VI, Section B, Line 15

Within the fiscal year, the president's compensation was reviewed by a committee of independent directors and an external compensation consultant. The results were presented to the full board for review and approval. Compensation for senior level staff is analyzed periodically by an independent consultant and reviewed with a committee of the board. Minutes are kept of such meetings. The last compensation review for the top management official took place in july 2016.

Form 990, Part VI, Section C, Line 19

The human rights campaign foundation does not make its governing documents, conflict of interest and financial statements available to the public.

SUPPLEMENTAL INFORMATION, PART VII, LINE 5:

The human rights campaign (hrc) and human rights campaign foundation (hrcf) have entered into a cost sharing arrangement under which hrcf reimburses hrc for hrcf's allocable share of the compensation of certain employees for performing services provided to hrcf. Compensation reimbursed by hrcf is not additive to the compensation reported by hrc. Hrc and hrcf are not "related organizations" as that term is defined in the form 990, glossary. Pursuant to their agreement, hrcf reimbursed hrc for its share of compensation as follows: chad griffin (officer) $55,410 joni madison (officer) $49,172 ana ma (officer) $29,491 james rinefierd (officer) $89,606 robert falk (officer) $70,645 darrin hurwitz (officer) $47,430 mary beth maxwell (officer) $200,045

IRS990/Desc0PUBLIC POLICY, EDUCATION, OUTREACH & TRAINING: THE HUMAN RIGHTS CAMPAIGN FOUNDATION (HRCF) IMPROVES THE LIVES OF LESBIAN, GAY, BISEXUAL, TRANSGENDER AND QUEER (LGBTQ) PEOPLE BY WORKING TO INCREASE UNDERSTANDING AND ENCOURAGE THE ADOPTION OF LGBTQ-INCLUSIVE POLICIES AND PRACTICES. THROUGH THE FOLLOWING PROGRAMS AND PROJECTS, HRCF IS ENHANCING THE LIVED EXPERIENCES OF LGBTQ PEOPLE AND THEIR FAMILIES, AS WE CHANGE HEARTS AND MINDS ACROSS AMERICA AND AROUND THE GLOBE.HRCF'S WORKPLACE EQUALITY PROGRAM CONTINUES TO SUPPORT SIGNIFICANT GROWTH IN LGBTQ-INCLUSIVE POLICIES, BENEFITS AND PRACTICES ACROSS THE PRIVATE SECTOR THROUGH ITS ANNUAL CORPORATE EQUALITY INDEX (CEI). IN ITS 14TH YEAR, THE 2017 CEI SAW THE HIGHEST SINGLE-YEAR JUMP IN TOP-RATED BUSINESSES, AS WELL AS THE HIGHEST NUMBER OF TOP-RATED BUSINESSES EVER. IN ADDITION TO MANDATING THAT ALL GLOBAL BUSINESSES MUST HAVE GENDER IDENTITY AND SEXUAL ORIENTATION PROTECTIONS ACROSS ALL INTERNATIONAL OPERATIONS, THE WORPLACE EQUALITY PROGRAM HELD WORKPLACE INCLUSION FORUMS IN INDIA, VIETNAM AND MEXICO WITH GLOBAL BUSINESS LEADERS, CIVIL SOCIETY ADVOCATES AND DIPLOMATIC CORPS STAFF - ALL TO EXCHANGE BEST PRACTICES IN PROMOTING LGBTQ EQUALITY.SINCE ITS INCEPTION IN 2007, THE HEALTHCARE EQUALITY INDEX (HEI) ASSESSES POLICIES AND PRACTICES OF HOSPITALS AND HEALTHCARE INSTITUTIONS FOR THEIR LGBTQ PATIENTS AND EMPLOYEES. THE HEALTH AND AGING PROGRAM ALSO PROVIDED LGBTQ HEALTH EDUCATION TO HEALTHCARE PROFESSIONALS AT FACILITIES AROUND THE COUNTRY.HRCF ALSO PUBLISHES THE MUNICIPAL EQUALITY INDEX (MEI). NOW IN ITS FIFTH YEAR, THE MEI EXAMINES THE LAWS, POLICIES, AND SERVICES OF MUNICIPALITIES AND RATES THEM ON THE BASIS OF THEIR INCLUSIVITY OF LGBTQ PEOPLE WHO LIVE AND WORK THERE. THE 2016 MEI RATES A TOTAL OF 506 CITIES FROM EVERY STATE IN THE NATION AND BOASTS THE HIGHEST NUMBER OF 100-POINT SCORES IN THE HISTORY OF THE PROGRAM, WITH 60 CITIES ACHIEVING THE TOP SCORE.HRCF ALSO PROVIDES A VARIETY OF ADDITIONAL SERVICES, RESOURCES AND TRAININGS TO THE LGBTQ COMMUNITY AND OUR ALLIES. IN 2016, HRCF RELEASED A SERIES OF GUIDES WITH A DETAILED LOOK AT THE NEEDS OF PARTICULAR MEMBERS OF OUR COMMUNITY, PACKED WITH ACTION STEPS FOR FAMILIES, PROFESSIONALS, AND LGBTQ PEOPLE THEMSELVES. ADDTIONALLY, IN PARTNERSHIP WITH THE TRANS PEOPLE OF COLOR COALITION, HRCF RELEASED ITS FIRST COMPREHENSIVE ANNUAL REPORT, ANTI-TRANSGENDER VIOLENCE: EXPLORING REALITIES, CHALLENGES AND SOLUTIONS FOR POLICYMAKERS AND ADVOCATES.COLLABORATING CLOSELY WITH LEADING HIV ORGANIZATIONS, WE ARE CONTINUING OUR LONGTIME WORK TO END THE EPIDEMIC POSED BY HIV AND HIV-RELATED STIGMA, WITH A FOCUS ON THE U.S. SOUTH AND OTHER HARD-HIT COMMUNITIES ACROSS THE U.S. NOW IN ITS SECOND YEAR, THE HIV 360 FELLOWSHIP PROGRAM SELECTED ITS SECOND COHORT. THE FELLOWSHIP PROGRAM IS A NINE MONTH-LONG CAPACITY-BUILDING PROGRAM DESIGNED TO EQUIP 10 YOUNG, NON-PROFIT LEADERS WITH THE SKILLS AND SELF-EFFICACY NEEDED TO TAKE HIV-INCLUSIVE ORGANIZATIONS AND INITIATIVES TO THE NEXT LEVEL. ADDITIONALLY, WE CONTINUED TO EXPAND OUR PUBLIC EDUCATION AND OUTREACH EFFORTS TO INCLUDE A SUSTAINED FOCUS ON SEXUAL HEALTH AND WELLNESS, AS WELL AS THE PREVENTION BENEFITS OF VIRAL SUPPRESSION OR BECOMING UNDETECTABLE.IN THE FAITH SECTOR, HRCF'S RELIGION AND FAITH PROGRAM CONTINUES TO WORK TO CREATE A WORLD WHERE NOBODY IS FORCED TO CHOOSE BETWEEN WHO THEY ARE, WHOM THEY LOVE AND WHAT THEY BELIEVE, REFLECTING THE GROWING CONSENSUS THAT FAITH AND LGBTQ IDENTITY ARE NOT MUTUALLY EXCLUSIVE.A SIGNIFICANT FOCUS OF HRCF'S WORK IS ON LGBTQ YOUTH. THE WELCOMING SCHOOLS PROGRAM, WHICH BRINGS ANTI-BULLYING MATERIALS AND TRAINING TO ELEMENTARY SCHOOLS ACROSS THE COUNTRY, WORKS TO ADDRESS BIAS-BASED BULLYING, TO CELEBRATE FAMILY DIVERSITY AND TO DEVELOP MORE GENDER AND LGBTQ-INCLUSIVE SCHOOLS. THE ALL CHILDREN ALL FAMILIES (ACAF) PROGRAM WORKS WITH ADOPTION AND FOSTER CARE AGENCIES TO BUILD LGBTQ CULTURAL COMPETENCE AMONG CHILD WELFARE PROFESSIONALS AND TO PROMOTE POLICIES AND PR
