Governance Explanations

Form 990, Part VI, Section B, Line 11

The form 990 was prepared by the outside accountants and reviewed by senior management. The audit and finance committees reviewed the 990 public disclosure copy prior to filing. The board was invited to review the 990 public disclosure copy before filing and a copy was provided electronically to all board members before the 990 was filed.

Form 990, Part VI, Section B, Line 12C

The organization annually sends out a conflicts of interest policy to its officers and directors and requests a signed disclosure form from each covered individual. Any disclosed conflict is reviewed by the general counsel. If a conflict does exist on a specific issue, meeting minutes reflect the board action taken to clear the conflict, either by having the affected board member or officer recuse themselves from the discussion or vote or remove themselves from all deliberations. A conflict of interest policy also applies to employees.

Form 990, Part VI, Section B, Line 15

Within the fiscal year, the president's compensation was reviewed by a committee of independent directors and an external compensation consultant. The results were presented to the full board for review and approval. Compensation for senior level staff is analyzed periodically by an independent consultant and reviewed with a committee of the board. Minutes are kept of such meetings. The last compensation review for the top management official took place in march 2015.

Form 990, Part VI, Section C, Line 19

The human rights campaign foundation does not make its governing documents, conflict of interest and financial statements available to the public.

SUPPLEMENTAL INFORMATION, PART VII, LINE 5:

The human rights campaign (hrc) and human rights campaign foundation (hrcf) have entered into a cost sharing arrangement under which hrcf reimburses hrc for hrcf's allocable share of the compensation of certain employees for performing services provided to hrcf. Compensation reimbursed by hrcf is not additive to the compensation reported by hrc. Hrc and hrcf are not "related organizations" as that term is defined in the form 990, glossary. Pursuant to their agreement, hrcf reimbursed hrc for its share of compensation as follows: chad griffin (officer) $66,748 ana ma (officer) $81,466 james rinefierd (officer) $82,937 robert falk (officer) $69,570 darrin hurwitz (officer) $43,101 jeffrey krehely (officer) $176,594

IRS990/Desc0PUBLIC POLICY, EDUCATION, OUTREACH & TRAINING: THE HUMAN RIGHTS CAMPAIGN FOUNDATION (HRCF) IMPROVES THE LIVES OF LESBIAN, GAY, BISEXUAL AND TRANSGENDER (LGBT) PEOPLE BY WORKING TO INCREASE UNDERSTANDING AND ENCOURAGE THE ADOPTION OF LGBT-INCLUSIVE POLICIES AND PRACTICES. THROUGH A VARIETY OF TOOLS AND PROGRAMS, HRCF PROMOTES THE VIRTUES OF EQUAL TREATMENT, EQUAL BENEFITS, NON-DISCRIMINATION PROTECTIONS AND COMPETENCY TRAINING AMONG MAJOR EMPLOYERS, HOSPITALS, UNIVERSITIES, CHURCHES AND OTHER CENTERS OF AMERICAN LIFE. HRCF'S "CORPORATE EQUALITY INDEX" (CEI) HAS HELPED TRANSFORM THE AMERICAN WORKPLACE FOR OVER A DECADE, INCENTIVIZING PROGRESS TOWARD LGBT-INCLUSIVE POLICIES AT AMERICA'S TOP EMPLOYERS. SIMILARLY, SINCE ITS INCEPTION IN 2007, THE "HEALTHCARE EQUALITY INDEX" ASSESSES POLICIES AND PRACTICES OF HOSPITALS AND HEALTHCARE INSTITUTIONS FOR THEIR LGBT PATIENTS AND EMPLOYEES. HRCF ALSO PUBLISHES THE MUNICIPAL EQUALITY INDEX (MEI). NOW IN ITS THIRD YEAR, THE MEI EXAMINES THE LAWS, POLICIES, AND SERVICES OF MUNICIPALITIES AND RATES THEM ON THE BASIS OF THEIR INCLUSIVITY OF LGBT PEOPLE WHO LIVE AND WORK THERE. HRCF ALSO PROVIDES A VARIETY OF ADDITIONAL SERVICES, RESOURCES AND TRAININGS TO THE LGBT COMMUNITY AND OUR ALLIES. THE HEALTH AND AGING PROGRAM HAS PROVIDED LGBT HEALTH EDUCATION TO HEALTHCARE PROFESSIONALS AT FACILITIES AROUND THE COUNTRY. COLLABORATING CLOSELY WITH LEADING HIV/AIDS ORGNANIZATIONS, WE ARE ENERGETICALLY CONTINUING OUR LONGTIME WORK TO END THE EPIDEMIC POSED BY AIDS. IN ADDITION TO ENDORSING HIV TREATMENT AND PREVENTION BREAKTHROUGHS LIKE PREP, WE HAVE REDOUBLED OUR INITIATIVE TO COMBAT RECENT INCREASES IN HIV AMONG GAY AND BISEXUAL MEN AND TRANSGENDER WOMEN, ENCOURAGING HIV TESTING, CALLING ATTENTION TO ADVANCES IN PREVENTION AND TREATMENT AND WORKING AT ALL LEVELS TO REDUCE THE STIGMA EXPERIENCED BY HIV-POSITIVE PEOPLE. IN THE FAITH SECTOR, HRCF'S RELIGION AND FAITH PROGRAM BUILDS BRIDGES BETWEEN LGBT INDIVIDUALS, THEIR FAMILIES AND FAITH COMMUNITIES, BUILDING A NATIONAL NETWORK THAT REFLECTS THE GROWING CONSENSUS THAT FAITH AND LGBT IDENTITY ARE NOT MUTUALLY EXCLUSIVE. A SIGNIFICANT FOCUS OF THIS WORK IS ON THE INTERSECTION OF INDIVIDUALS, FAMILIES AND FAITH COMMUNITIES WITH SPECIFIC FOCUS ON THE HISPANIC COMMUNITY THROUGH HRCF'S "A LA FAMILIA" TRAINING PROGRAM AND ON YOUTH AND FAMILY ENGAGEMENT IN EVANGELICAL AND AFRICAN AMERICAN PROTESTANT FAITH COMMUNITIES. A SIGNIFICANT FOCUS OF HRCF'S WORK IS ON LGBT YOUTH--THROUGH PROGRAMS SUCH AS "WELCOMING SCHOOLS," WHICH BRINGS ANTI-BULLYING MATERIALS AND TRAINING TO ELEMENTARY SCHOOLS ACROSS THE COUNTRY, AND "ALL CHILDREN ALL FAMILIES," WHICH WORKS WITH ADOPTION AGENCIES TO BUILD LGBT CULTURAL COMPETENCE AMONG CHILD WELFARE PROFESSIONALS AND TO PROMOTE POLICIES AND PRACTICES THAT WELCOME LGBT FOSTER AND ADOPTIVE PARENTS. YOUTH AND ADOLESCENT WELL-BEING IS THE CENTRAL FOCUS OF HRCF'S ANNUAL "TIME TO THRIVE" CONFERENCE. NOW IN ITS SECOND YEAR, THE CONFERENCE IS ATTENDED BY HUNDREDS OF TEACHERS, SOCIAL WORKERS, COUNSELORS AND OTHER YOUTH-SERVING PROFESSIONALS FOCUSED ON IMPROVING THE WELL-BEING OF LGBT YOUTH. WE ARE ENGAGED ON COLLEGE CAMPUSES AND WITH GEN-EQ WITH OUR "COMING OUT" PROGRAM AND RELATED RESOURCES, CAMPUS INVOLVEMENT, AND LEADERSHIP TRAINING FOR LGBT LEADERS AT HISTORICALLY BLACK COLLEGES AND UNIVERSITIES. IN ADDITION, A MAJOR PART OF HRCF'S WORK SINCE 2013 HAS BEEN HRC GLOBAL. BY PUTTING THE SPOTLIGHT ON THE SPREAD OF ANTI-LGBT ANIMUS AROUND THE GLOBE, SHARING BEST PRACTICES WITH GLOBAL FELLOWS AT OUR DC HEADQUARTERS, AND THROUGH GLOBAL PARTNERSHIPS WITH LGBT ORGANIZATIONS AND MOVEMENTS AROUND THE WORLD, HRC GLOBAL HELPS SPREAD THE MESSAGE THAT LGBT RIGHTS ARE HUMAN RIGHTS. FINALLY, AS MARRIAGE EQUALITY REACHED THE U.S. SUPREME COURT, HRCF CONTINUED TO SUPPORT ONGOING PUBLIC EDUCATION AND AWARENESS EFFORTS MAKING THE CASE THAT MARRIAGE EQUALITY SHOULD REACH ALL 50 STATES IN THE COUNTRY.
