Governance Explanations

Form 990, Part VI, Section B, Line 11

The form 990 was prepared by the outside accountants and reviewed by senior management. The audit and finance committees reviewed the 990 public disclosure copy prior to filing. The board was invited to review the 990 public disclosure copy before filing and a copy was provided electronically to all board members before the 990 was filed.

Form 990, Part VI, Section B, Line 12C

The organization annually sends out a conflicts of interest policy to its officers and directors and requests a signed disclosure form from each covered individual. Any disclosed conflict is reviewed by the general counsel. If a conflict does exist on a specific issue, meeting minutes reflect the board action taken to clear the conflict, either by having the affected board member or officer recuse themselves from the discussion or vote or remove themselves from all deliberations. A conflict of interest policy also applies to employees.

Form 990, Part VI, Section B, Line 15

Within the fiscal year, the president's compensation was reviewed by a committee of independent directors and an external compensation consultant. The results were presented to the full board for review and approval. Compensation for senior level staff is analyzed periodically by an independent consultant and reviewed with a committee of the board. Minutes are kept of such meetings. The last compensation review for the top management official took place in july 2015.

Form 990, Part VI, Section C, Line 19

The human rights campaign foundation does not make its governing documents, conflict of interest and financial statements available to the public.

SUPPLEMENTAL INFORMATION, PART VII, LINE 5:

The human rights campaign (hrc) and human rights campaign foundation (hrcf) have entered into a cost sharing arrangement under which hrcf reimburses hrc for hrcf's allocable share of the compensation of certain employees for performing services provided to hrcf. Compensation reimbursed by hrcf is not additive to the compensation reported by hrc. Hrc and hrcf are not "related organizations" as that term is defined in the form 990, glossary. Pursuant to their agreement, hrcf reimbursed hrc for its share of compensation as follows: chad griffin (officer) $152,644 ana ma (officer) $65,505 james rinefierd (officer) $92,364 robert falk (officer) $73,115 darrin hurwitz (officer) $46,694 jeffrey krehely (officer) $71,385 mary beth maxwell (officer) $51,313

IRS990/Desc0PUBLIC POLICY, EDUCATION, OUTREACH & TRAINING: THE HUMAN RIGHTS CAMPAIGN FOUNDATION (HRCF) IMPROVES THE LIVES OF LESBIAN, GAY, BISEXUAL, TRANSGENDER AND QUEER (LGBTQ) PEOPLE BY WORKING TO INCREASE UNDERSTANDING AND ENCOURAGE THE ADOPTION OF LGBTQ-INCLUSIVE POLICIES AND PRACTICES. THROUGH THE FOLLOWING PROGRAMS AND PROJECTS, HRCF IS ENHANCING THE LIVED EXPERIENCES OF LGBTQ PEOPLE AND THEIR FAMILIES, AS WE CHANGE HEARTS AND MINDS ACROSS AMERICA AND AROUND THE GLOBE. THE HRCF'S CORPORATE EQUALITY INDEX (CEI) CONTINUES TO DRIVE LGBTQ-INCLUSIVE POLICIES AND PRACTICES AT FORTUNE 500 COMPANIES AND THE NATION'S LARGEST LAW FIRMS. IN ITS 13TH YEAR, THE CEI FOR THE FIRST TIME INCLUDED BENCHMARKS REQUIRING US COMPANIES TO HAVE NON-DISCRIMINATION POLICIES FOR THEIR EMPLOYEES WORLDWIDE. THE CEI HAS HELPED TRANSFORM THE AMERICAN WORKPLACE, INCENTIVIZING LGBTQ-INCLUSIVE PROGRESS AT TOP COMPANIES ACROSS THE NATION. SINCE ITS INCEPTION IN 2007, THE HEALTHCARE EQUALITY INDEX (HEI) ASSESSES POLICIES AND PRACTICES OF HOSPITALS AND HEALTHCARE INSTITUTIONS FOR THEIR LGBTQ PATIENTS AND EMPLOYEES. SIGNIFICANTLY, WALTER REED MILITARY MEDICAL CENTER THIS YEAR BECAME THE FIRST ACTIVE US MILITARY HEALTHCARE FACILITY TO BE DESIGNATED AN HRCF LEADER IN HEALTHCARE EQUALITY. HRCF ALSO PUBLISHES THE MUNICIPAL EQUALITY INDEX (MEI). NOW IN ITS FOURTH YEAR, THE MEI EXAMINES THE LAWS, POLICIES, AND SERVICES OF MUNICIPALITIES AND RATES THEM ON THE BASIS OF THEIR INCLUSIVITY OF LGBTQ PEOPLE WHO LIVE AND WORK THERE. 47 CITIES EARNED PERFECT SCORES THIS YEAR, UP FROM 38 THE PRIOR YEAR. HRCF ALSO PROVIDES A VARIETY OF ADDITIONAL SERVICES, RESOURCES AND TRAININGS TO THE LGBTQ COMMUNITY AND OUR ALLIES. THE HEALTH AND AGING PROGRAM HAS PROVIDED LGBTQ HEALTH EDUCATION TO HEALTHCARE PROFESSIONALS AT FACILITIES AROUND THE COUNTRY. COLLABORATING CLOSELY WITH LEADING HIV AND AIDS ORGANIZATIONS, WE ARE CONTINUING OUR LONGTIME WORK TO END THE EPIDEMIC POSED BY HIV AND AIDS, AND THIS YEAR LAUNCHED THE HIV 360 FELLOWSHIP PROGRAM TO TRAIN AND GUIDE 10 YOUNG HIV PREVENTION LEADERS FROM HARDEST-HIT COMMUNITIES ACROSS THE COUNTRY. ADDITIONALLY, WE CONTINUE TO EDUCATE ON HIV TREATMENT AND PREVENTION BREAKTHROUGHS LIKE PREP, REDOUBLE OUR EFFORTS TO COMBAT INCREASES IN HIV AMONG GAY AND BISEXUAL MEN AND TRANSGENDER WOMEN, ENCOURAGE HIV TESTING, CALL ATTENTION TO ADVANCES IN PREVENTION AND TREATMENT AND WORK AT ALL LEVELS TO REDUCE THE STIGMA EXPERIENCED BY HIV-POSITIVE PEOPLE. IN THE FAITH SECTOR, HRCF'S RELIGION AND FAITH PROGRAM BUILDS BRIDGES BETWEEN LGBTQ INDIVIDUALS, THEIR FAMILIES AND FAITH COMMUNITIES, BUILDING A NATIONAL NETWORK THAT REFLECTS THE GROWING CONSENSUS THAT FAITH AND LGBTQ IDENTITY ARE NOT MUTUALLY EXCLUSIVE. A SIGNIFICANT FOCUS OF HRCF'S WORK IS ON LGBTQ YOUTH--THROUGH PROGRAMS SUCH AS "WELCOMING SCHOOLS," WHICH BRINGS ANTI-BULLYING MATERIALS AND TRAINING TO ELEMENTARY SCHOOLS ACROSS THE COUNTRY, AND "ALL CHILDREN ALL FAMILIES," WHICH WORKS WITH ADOPTION AND FOSTER CARE AGENCIES TO BUILD LGBTQ CULTURAL COMPETENCE AMONG CHILD WELFARE PROFESSIONALS AND TO PROMOTE POLICIES AND PRACTICES THAT WELCOME QUALIFIED LGBTQ FOSTER AND ADOPTIVE PARENTS. YOUTH AND ADOLESCENT WELL-BEING IS THE CENTRAL FOCUS OF HRCF'S ANNUAL "TIME TO THRIVE" CONFERENCE. NOW IN ITS THIRD YEAR, THE CONFERENCE IS ATTENDED BY HUNDREDS OF TEACHERS, SOCIAL WORKERS, COUNSELORS AND OTHER YOUTH-SERVING PROFESSIONALS FOCUSED ON IMPROVING THE WELL-BEING OF LGBTQ YOUTH. WE ARE ENGAGED ON COLLEGE CAMPUSES AND WITH GEN-EQ WITH OUR "COMING OUT" PROGRAM AND RELATED RESOURCES, CAMPUS INVOLVEMENT, AND ANNUAL LEADERSHIP TRAINING FOR BOTH LGBTQ LEADERS AND ADMINISTRATORS AT HISTORICALLY BLACK COLLEGES AND UNIVERSITIES. IN ADDITION, A MAJOR PART OF HRCF'S WORK SINCE 2013 HAS BEEN HRC GLOBAL. BY PUTTING THE SPOTLIGHT ON THE SPREAD OF ANTI-LGBTQ ANIMUS AROUND THE GLOBE, SHARING BEST PRACTICES WITH GLOBAL FELLOWS AT OUR DC HEADQUARTERS, AND THROUGH GLOBAL PARTNERSHIPS WITH LGBTQ ORGANIZATIONS AND MOVEMENTS AROUND THE WORL
