Governance Explanations

Form 990, Part VI, Section B, Line 11

The form 990 was prepared by the outside accountants and reviewed by senior management. The audit and finance committees reviewed the 990 public disclosure copy prior to filing. The board was invited to review the 990 public disclosure copy before filing and a copy was provided electronically to all board members before the 990 was filed.

Form 990, Part VI, Section B, Line 12C

The organization annually sends out a conflicts of interest policy to its officers and directors and requests a signed disclosure form from each covered individual. Any disclosed conflict is reviewed by the general counsel. If a conflict does exist on a specific issue, meeting minutes reflect the board action taken to clear the conflict, either by having the affected board member or officer recuse themselves from the discussion or vote or remove themselves from all deliberations. A conflict of interest policy also applies to employees.

Form 990, Part VI, Section B, Line 15

Within the fiscal year, the president's compensation was reviewed by a committee of independent directors and an external compensation consultant. The results were presented to the full board for review and approval. Compensation for senior level staff is analyzed periodically by an independent consultant and reviewed with a committee of the board. Minutes are kept of such meetings. The last compensation review for the top management official took place in 2013.

IRS990/Desc0PUBLIC POLICY, EDUCATION & TRAINING: THE HUMAN RIGHTS CAMPAIGN FOUNDATION (HRCF) FOCUSES ON THE ISSUES AND INSTITUTIONS THAT AFFECT LGBT AMERICANS - WORKPLACES, HOSPITALS, SCHOOLS, AND FAITH COMMUNITIES-- AND WORKS TO BUILD UNDERSTANDING AND ALLIANCES AMONG DIVERSE GROUPS AND INDIVIDUALS. HRCF PROMOTES EQUAL BENEFITS, NON-DISCRIMINATION PROTECTIONS AND EDUCATION AMONG MAJOR CORPORATIONS. HRCF'S "CORPORATE EQUALITY INDEX" (CEI) HAS HELPED TRANSFORM THE AMERICAN WORKPLACE FOR THE PAST TWELVE YEARS. SINCE INCEPTION IN 2007, THE "HEALTHCARE EQUALITY INDEX" ASSESSES POLICIES AND PRACTICES OF HOSPITALS AND HEALTHCARE INSTITUTIONS FOR THEIR LGBT PATIENTS AND EMPLOYEES. THE HEALTH AND AGING PROGRAM ALSO PROVIDED LGBT HEALTH EDUCATION TO WELL OVER 7,000 HEALTHCARE PROFESSIONALS AT FACILITIES AROUND THE COUNTRY. HRCF ALSO PUBLISHES THE MUNICIPAL EQUALITY INDEX (MEI). NOW IN ITS SECOND YEAR, THE MEI EXAMINES THE LAWS, POLICIES, AND SERVICES OF MUNICIPALITIES AND RATES THEM ON THE BASIS OF THEIR INCLUSIVITY OF LGBT PEOPLE WHO LIVE AND WORK THERE. COLLABORATING CLOSELY WITH LEADING HIV/AIDS ORGNANIZATIONS, WE ARE ENERGETICALLY CONTINUING OUR LONGTIME WORK TO END THE EPIDEMIC. WE HAVE RECENTLY EMBARKED ON AN INITIATIVE TO SPOTLIGHT RECENT INCREASES IN HIV AMONG GAY AND BISEXUAL MEN AND TRANSGENDER WOMEN, ENCOURAGE HIV TESTING, CALL ATTENTION TO ADVANCES IN PREVENTION AND TREATMENT AND REDUCE THE STIGMA EXPERIENCED BY HIV+ PEOPLE. THE RELIGION AND FAITH PROGRAM BUILDS BRIDGES BETWEEN LGBT INDIVIDUALS, THEIR FAMILIES AND FAITH COMMUNITIES TO INFORM AMERICA THAT ONE NEED NOT CHOOSE BETWEEN RELIGION AND BEING LGBT. A SIGNIFICANT FOCUS OF THIS WORK IS ON THE INTERSECTION OF INDIVIDUALS, FAMILIES AND FAITH COMMUNITIES WITH SPECIFIC FOCUS ON THE HISPANIC COMMUNITY THROUGH HRCF'S "A LA FAMILIA" TRAINING PROGRAM AND ON YOUTH AND FAMILY ENGAGEMENT IN EVANGELICAL AND AFRICAN AMERICAN PROTESTANT FAITH COMMUNITIES. A SIGNIFICANT FOCUS OF HRCF'S WORK IS ON YOUTH WITH PROGRAMS SUCH AS "WELCOMING SCHOOLS" WHICH BRINGS ANTIBULLYING MATERIALS AND TRAINING TO SCHOOLS AND "ALL CHILDREN ALL FAMILIES" WHICH WORKS WITH ADOPTION AGENCIES TO BUILD LGBT CULTURAL COMPETENCE AMONG CHILD WELFARE PROFESSIONALS AND TO PROMOTE POLICIES AND PRACTICES THAT WELCOME LGBT FOSTER AND ADOPTIVE PARENTS. YOUTH AND ADOLESCENT WELL-BEING IS A NEW FOCUS OF OUR WORK WHICH WAS CAPPED BY THE "TIME TO THRIVE" CONFERENCE IN FEBRUARY 2014 - A WEEKEND TRAINING PROGRAM ATTENDED BY OVER 600 TEACHERS, SOCIAL WORKERS, COUNSELORS AND OTHER YOUTH-SERVING PROFESSIONALS. WE ARE ENGAGED ON COLLEGE CAMPUSES AND WITH GEN-EQ WITH OUR "COMING OUT" PROGRAM AND RELATED RESOURCES, CAMPUS INVOLVEMENT, AND LEADERSHIP TRAINING FOR LGBT LEADERS AT HISTORICALLY BLACK COLLEGES AND UNIVERSITIES. IN 2013, HRCF LAUNCHED THE GLOBAL ENGAGEMENT PROGRAM, IDENTIFYING THREE MAJOR WAYS IN WHICH WE CAN WORK IN THE UNITED STATES AND BE PARTNERS WITH LGBT MOVEMENTS AROUND THE WORLD: GLOBAL OPPOSITION RESEARCH FOCUSED ON EXPOSING THE WORK OF EXPORTERS OF HATE, GLOBAL FELLOW PROJECT THROUGH WHICH LGBT LEADERS FOR OTHER NATIONS WORK WITH HRCF STAFF IN WASHINGTON, DC FOR ONE YEAR; AND GLOBAL PARTNERSHIPS THROUGH WHICH HRCF COLLABORATES WITH LGBT MOVEMENTS AND LEADERS AROUND THE GLOBE. A SIGNIFICANT PROJECT FOR THIS YEAR WAS PUBLIC EDUCATION SURROUNDING THE SUPREME COURT'S DECISIONS ON TWO KEY MARRIAGE EQUALITY CASES: HOLLINGSWORTH V. PERRY THAT WHICH CHALLENGED CALIFORNIA'S 2008 PROPOSITION 8 AND WINDSOR V. UNITED STATES WHICH CHALLENGED SECTION 3 OF THE DEFENSE OF MARRIAGE ACT (DOMA). EFFORTS IN THIS REGARD INCLUDED LEGAL ANALYSIS AND DEVELOPMENT OF ASSOCIATED EDUCATIONAL MATERIALS, AND EXPENDITURES SURROUNDING PUBLIC EDUCATION AND MOBILIZATION IN CONJUNCTION WITH ANNOUNCEMENT OF THE COURT'S DECISION ON JUNE 26, 2013. HRCF ALSO SUPPORTED CONTINUING EFFORTS AT PUBLIC EDUCATION AND AWARENESS ON THE ISSUE OF MARRIAGE EQUALITY ACROSS AMERICA.
