“Board members annually review a copy of the conflict of interest and compensation policy and sign it in order to register their familiarity with these documents. Each officer and director of project cure is required to annually fill out a questionnaire that asks various yes or no questions that will trigger disclosure of any conflicts of interest. Each officer and director is also required to identify annually all entities they and/or their relatives own or in which they have an ownership interest. The organization makes it a policy not to use any related parties as vendors.”
“The board approved the compensation of michael evers, president, and project cure's only employee. Mr. Evers recused himself from the board's vote on his compensation. The remaining board members determined that mr. Ever's compensation is ordinary and reasonable in light of the prevailing market for compensation paid to similarly skilled and experienced ceos by organizations which are comparable to project cure. The board also factors in the many years of experience mr. Evers has in this industry and the fact that he is an attorney in good standing admitted to the bars of alabama and texas.
