Election of members and their rights in accordance with our by-laws, the aaa board may select up to 4 trustees to the foundation's board of trustees each year. In addition, aaa has 2 ex-officio positions on the foundation's board of trustees.

Enforcement of conflict of interest policy annually -- the board of trustees, committees, and the aaa foundation for traffic safety associates are asked to read the foundation's policy on potential conflicts of interest and execute a form signifying they have identifying any possible conflict of interest. The foundation president and ceo, and senior foundation managers keep this policy in mind when all potential contracts are being negotiated. The process is overseen by independent audit team.

A comprehensive study of compensation and benefits was conducted by the mercer company in 2014 was used to benchmark the president & ceo's compensation, along with all associates. The foundation's administrative committee has formalized the process by which president & ceo's performance is measured and compensation established. That new process was instituted in april of 2015.

PART V, LINE 4:

Contributions to the endowment fund are subject to donor restrictions that stipulate the original principal of the gift is to be held and invested by the foundation indefinitely. Income from the fund may be expended to fund the foundation's general operations and various programs. The foundation board specifies a spending rate policy that authorizes spending a portion of the investment income generated by the endowment fund each year for research projects, public outreach, and educational efforts.

PART X, LINE 2:

The foundation follows accounting standards relating to accounting for uncertainty in income taxes. Management assessed whether there were any uncertain tax positions which may give rise to income tax liabilities and determined that there were no such matters requiring recognition in the accompanying financial statements. The foundation files income tax returns in the u.s. Federal jurisdiction. Generally, the foundation is no longer subject to u.s. Federal income tax examination by tax authorities for years before december 31, 2012.

FOUNDATION RESEARCH FINDINGS ARE USED TO SUPPORT NATIONAL PUBLIC AWARENESS CAMPAIGNS, SUCH AS GLOBAL YOUTH TRAFFIC SAFETY MONTH, NATIONAL TEEN DRIVER SAFETY WEEK, AND DROWSY DRIVING PREVENTION WEEK. THEY ARE ALSO USED TO DEVELOP EDUCATIONAL MATERIALS, AND SUPPORT ADVOCACY EFFORTS OF AAA AND OTHER TRAFFIC SAFETY ADVOCACY ORGANIZATIONS. ALL OF THESE EFFORTS ARE ULTIMATELY DESIGNED TO INFLUENCE AND AFFECT REAL WORLD IMPROVEMENTS IN TRAFFIC SAFETY. FOUNDATION RESEARCH HAS ALSO SUPPORTED OUR NUMEROUS PARTNERSHIPS IN THE TRANSPORTATION AND SAFETY COMMUNITIES. WE CONTINUED TO SUPPORT THE UN DECADE OF ACTION FOR ROAD SAFETY, AND ITS TOWARD ZERO DEATHS VISION, AND OTHER NATIONAL STRATEGIES, CAMPAIGNS. WE ALSO PARTICIPATED IN AN EXPERT PANEL CONVENED BY THE NATIONAL SLEEP FOUNDATION TO DEVELOP A CONSENSUS STATEMENT ON BEHALF OF THE SCIENTIFIC COMMUNITY REGARDING THE LEVEL OF ACUTE SLEEP DEPRIVATION BEYOND WHICH THE VAST MAJORITY OF DRIVERS WOULD BE TOO IMPAIRED BY FATIGUE TO DRIVE SAFELY, AND HOSTED A MEETING OF KEY INDUSTRY STAKEHOLDERS TO DISCUSS COGNITIVE DISTRACTION FINDINGS AND FUTURE PLANS. FINALLY, IN 2015 WE INITIATED RESEARCH PROJECTS DESIGNED TO ADDRESS DRUGGED DRIVING COUNTERMEASURES AND JUDICIAL TRAINING FOR OFFENDERS; THE ESTABLISHMENT OF A COMPREHENSIVE CENTER TO STUDY DRIVER DISTRACTION AT THE UNIVERSITY OF UTAH; AN EVALUATION OF TRUCK SAFETY TECHNOLOGIES; THE RISK OF SMARTPHONE USE ON CRASH RISK; EVALUATING THE IMPACT OF PARENT SESSIONS ON TEEN DRIVER LEARNING; AND HIGHWAY INFRASTRUCTURE SAFETY. SEVERAL STUDIES WERE INITIATED RELEVANT TO THE PROJECT OBJECTIVES OF THE LONGROAD (LONGITUDINAL STUDY ON AGING DRIVERS) STUDY, AS THE AAA FOUNDATION FOCUSES ON WAYS TO KEEP SENIORS SAFE AND MOBILE AS A TOP PRIORITY.
