During the election of members and their rights in accordance with the by-laws, aaa's board may select up to 4 trustees to the board of trustees each year. In addition, aaa has 2 ex-officio positions on the board of trustees.

Form 990 is reviewed by the foundation's audit committee and board of trustees prior to submission.

In accordance with existing policy and the code of conduct, enforcement of conflict of interest policy - the board of trustees, committees, consultants, and the aaa foundation for traffic safety associates are asked to read the foundation's policy on potential conflicts of interest and execute a form signifying they have identified any possible conflict of interest. The foundation president and ceo, and senior foundation managers keep this policy in mind when all potential contracts are being negotiated. And, the annual process is initiated and monitored by the aaa internal audit team, who reports progress to the foundation audit committee.

A comprehensive study of compensation and benefits was conducted by the mercer company in 2014, that is being used to benchmark the president and ceo's compensation, along with all associates. The foundation's administrative committee is also in the process of formalizing the process by which the president & ceo's performance is measured and compensation established. The new process should be instituted by april of 2015.

PART V, LINE 4:

Contributions to the endowment fund are subject to donor restrictions that stipulate the original principal of the gift is to be held and invested by the foundation indefinitely. Income from the fund may be expended to fund the foundation's general operations and various programs. The foundation board specifies a spending rate policy that authorizes spending a portion of the investment income generated by the endowment fund each year for research projects, public outreach, and educational efforts.

PART X, LINE 2:

The foundation follows accounting standards relating to accounting for uncertainty in income taxes. Management assessed whether there were any uncertain tax positions which may give rise to income tax liabilities and determined that there were no such matters requiring recognition in the accompanying financial statements. The foundation files income tax returns in the u.s. Federal jurisdiction. Generally, the foundation is no longer subject to u.s. Federal income tax examination by tax authorities for years before december 31, 2011.

HIGHLIGHTS FROM THE FOUNDATION'S 2014 WORK INCLUDE:COMPLETED 7 IN-HOUSE STUDIES: DRIVER LICENSE RENEWAL POLICIES AND FATAL CRASH RATES OF OLDER DRIVERS; VIOLATIONS AND ENFORCEMENT OF GDL IN NC & WA STATE; DISTRACTED DRIVING AND COGNITIVE DISTRACTION RESEARCH COMPENDIUM UPDATE; PEDESTRIANS ON THE INTERSTATE; DROWSY DRIVING CRASHES UPDATE; FOG CRASHES; AND 2013 TRAFFIC SAFETY CULTURE INDEX RE-ANALYSIS: "OLD, OLDER, AND OLDEST DRIVERS."ADDITIONALLY, WORK WAS COMPLETED ON 10 STUDIES FUNDED AND MANAGED BY THE FOUNDATION AND CONDUCTED AT LEADING UNIVERSITIES AND OTHER ACADEMIC RESEARCH INSTITUTIONS: MEASURING COGNITIVE DISTRATION IN THE AUTOMOBILE (PHASES II AND IIA); NATIONAL SURVEY OF CHILD PASSENGER SAFETY TECHNICIANS ON THE LATCH SYSTEM; UNDERSTANDING OLDER DRIVERS: AN EXAMINATION OF MEDICAL CONDITIONS, MEDICATION USE, AND TRAVEL BEHAVIOR; YOUNG DRIVER LICENSING IN NEW JERSEY; EVALUATION OF BEGINNER DRIVER EDUCATION PROGRAMS; EXTENDING GDL - CA & NC; EXTENDING GDL - NEW JERSEY; AND EVALUATING TECHNOLOGIES RELEVANT TO THE ENHANCEMENT OF DRIVER SAFETY.FOUNDATION RESEARCH FINDINGS ARE USED TO SUPPORT NATIONAL PUBLIC AWARENESS CAMPAIGNS, SUCH AS GLOBAL YOUTH TRAFFIC SAFETY MONTH, NATIONAL TEEN DRIVER SAFETY WEEK, AND DROWSY DRIVING PREVENTION WEEK. THEY ARE ALSO USED TO DEVELOP EDUCATIONAL MATERIALS, AND SUPPORT ADVOCACY EFFORTS OF AAA AND OTHER TRAFFIC SAFETY ADVOCACY ORGANIZATIONS. ALL OF THESE EFFORTS ARE ULTIMATELY DESIGNED TO INFLUENCE AND AFFECT REAL WORLD IMPROVEMENTS IN TRAFFIC SAFETY.FOUNDATION RESEARCH HAS ALSO SUPPORTED OUR NUMEROUS PARTNERSHIPS IN THE TRANSPORTATION AND SAFETY COMMUNITIES. WE CONTINUED TO SUPPORT THE UNITED NATIONS DECADE OF ACTION FOR ROAD SAFETY, AND ITS TOWARD ZERO DEATHS VISION, AND OTHER NATIONAL STRATEGIES AND CAMPAIGNS. WE ALSO TESTIFIED BEFORE AN NTSB HEARING ON DROWSY DRIVING, AND HOSTED A MEETING OF KEY INDUSTRY STAKEHOLDERS TO DISCUSS COGNITIVE DISTRACTION FINDINGS AND FUTURE PLANS.FINALLY, IN 2014 WE INITIATED RESEARCH PROJECTS DESIGNED TO ADDRESS CRASH CAUSATION AND CONTRIBUTING FACTORS; DRUGGED DRIVING; TRAFFIC SAFETY CULTURE, AT THE STATE LEVEL; SENIOR SAFETY AND MOBILITY; ROADWAY SAFETY; AND GRADUATED DRIVER LICENSING.
