Governance Explanations

Form 990, Part VI, Section A, Line 6

Applications for membership shall be accepted or rejected by a vote of the board of directors. Membership shall become effective january 1 in the year following such acceptance. Each member shall be committed to use its best efforts to ensure the cooperation of its agencies and employees to further the purposes and objectives of the ellis county coalition.

Form 990, Part VI, Section A, Line 7A

The board of directors shall consist of one representative from each current member agency and six (6) "at large" representatives. Each member agency will select and designate a board member. The six "at large" board members shall be approved per a nominating committee's recommendation.

A copy of form 990 was provided to the organization's governing body before the return was filed with the internal revenue service. The governing body reviewed the return and presented any questions for discussion. After discussion, the return was approved for filing.

Annually, all board members are required to disclose any conflicts of interest they may have with the ellis county coalition for economic development. Any board member who has a personal or financial interest in any matter shall announce such conflict and abstain from discussion and voting. The abstaining member shall be counted for quorum purposes.

Compensation of executive staff is determined by the governing board after taking into consideration similar positions with other agencies and consulting with independent, outside sources as deemed necessary.
