Combined Arms

“The President, Vice President, Treasurer and Secretary of the Corporation shall constitute the executive committee. The Executive Committee shall have the authority to direct the activities of the Corporation as authorized by the Board of Directors and shall act in the place of the Board of Directors whenever the full board cannot meet.”

“The membership of the Corporation consists of collaborating members and associate members. Each collaborating member is required to be (i) a governmental or nonprofit entity that is focused on providing military transition and community reintegration services, (ii) in good financial and operational standing for at least one year prior to application for coalition membership. Each associate member is any eligible individual or entity that does not meet the requirements necessary to be a Collaborating Member and whose primary mission and programs focus is not transitioning military service members and their families.”

“Certain members who are supported organizations nominated representatives to the board of directors for election AND appointment by a majority vote of the FOUNDING MEMBERs. The current Board of Directors has the power to appoint, elect, and remove Directors with support of a majority vote. Nominations of individuals to serve on the Board of Directors are accepted from Collaborating Members only and made to the Combined Arms Membership and Nominating Committee, upon request.”

“The Combined Arms Committee Program was established to promote collaboration among Combined Arms Collaborative & Associate member organizations. The member organizations fall into at least one of the following committees led by elected member organization representatives: - Careers & Education - Wellness - Essential Services - Volunteer & Social During the committee meetings, member organizations' representatives view objective data provided by the Combined Arms Technology System and decide how to serve veterans more effectively. The committee members make decisions regarding how to collectively serve veterans through the digital and physical infrastructure provided by Combined Arms. The decisions of these committes drive Combined Arms' mission forward and are not required to be ratified by a vote of the board of directors.”

“The form 990 was provided in its entirety to the board of directors and officers for review and approval prior to filing the form.”

“Each director and principal officer of the organization, and each member of a committee with Board delegated powers, completes a questionnaire using the form approved by the Board from time to time and signs a statement which affirms that such person is in compliance with the conflict of interest policy. If a conflict does exist between an individual and a matter being decided by a board or committee, the impacted individual is recused from discussion and decision-making. Periodic reviews are conducted to ensure that the organization operates in a manner consistent with its charitable purposes and that it does not engage in activities that could jeopardize its status as an organization exempt from federal income tax.”

“A compensation committee, comprised of individuals who were independent from the compensation being considered, determined compensation to be paid to the organization's executive director based on community market surveys for comparable positions as applied to Combined Arms' overall budget and compensation strategy.”

“The organization's articles of incorporation, financial statements, and conflict of interest policy are available upon request.”
