The board of director keeps contemporaneous minutes of all board of directors meetings. The organization has no committees with authority to act on behalf of the governing body.

A draft form 990 is reviewed by the board of directors and all questions are relayed to the cpa, tax preparer. Once all questions and concerns are addressed a final return is prepared, signed and filed.

Form 990, Part VI, Line 12C: Explanation of Monitoring and Enforcement of Conflicts

Theatre 831 Conflict of Interest Policy (Monitoring & Enforcement):Each interested person has a duty to disclose to the Board all material facts regarding his/her, or its interest (including relevant affiliations) in a potential transaction. A conflict of interest is present when, in the judgment of the Board, an interested person's financial stake in the transaction is such that it reduces the likelihood that an insider's influence can be exercised impartially in the best interests of Theatre 831 (or as may otherwise be defined by applicable law). Interested persons who are members of the Board shall not be permitted to participate in deliberations or to vote, in determining whether the transaction is approved. The Board shall ascertain that all material facts regarding the transaction and the interested person's conflict of interest have been disclosed to the Board or Committee, and shall compile appropriate data to ascertain whether the proposed transaction is fair and reasonable to Theatre 831. After exercising due diligence, which may include investigating alternatives that present no conflict, the Board or Committee shall determine whether the transaction is in Theatre 831's best interest, for its own benefit, and whether it is fair and reasonable to Theatre 831; the majority of disinterested members of the Board or Committee then in office may approve the transaction. If the transaction does not involve a director with a material financial interest, the transaction can be approved by the Board or Committee by majority vote of those present at a meeting for which quorum requirements have been met.Each director, corporate officer, and key employees of Theatre 831, and others that Theatre 831 may identify, shall annually sign a statement, that: 1) affirms that the person has received a copy of the conflict of interest policy, has read and understood the policy, and has agreed to comply with the policy; and 2) discloses the person's financial interests and family relationships that could give rise to conflicts of interest. To ensure that Theatre 831 operates in a manner consistent with its charitable purposes and its status as an organization exempt from federal income tax, the Board shall authorize and oversee an annual review of the administration of this conflict of interest policy. The review may be written or oral. The review shall consider the level of compliance with the policy, the continuing suitability of the policy, and whether the policy should be modified and improved.

IRS990ScheduleO/SupplementalInformationDetail/ExplanationTxt2Theatre 831 Conflict of Interest Policy (Monitoring & Enforcement):Each interested person has a duty to disclose to the Board all material facts regarding his/her, or its interest (including relevant affiliations) in a potential transaction. A conflict of interest is present when, in the judgment of the Board, an interested person's financial stake in the transaction is such that it reduces the likelihood that an insider's influence can be exercised impartially in the best interests of Theatre 831 (or as may otherwise be defined by applicable law). Interested persons who are members of the Board shall not be permitted to participate in deliberations or to vote, in determining whether the transaction is approved. The Board shall ascertain that all material facts regarding the transaction and the interested person's conflict of interest have been disclosed to the Board or Committee, and shall compile appropriate data to ascertain whether the proposed transaction is fair and reasonable to Theatre 831. After exercising due diligence, which may include investigating alternatives that present no conflict, the Board or Committee shall determine whether the transaction is in Theatre 831's best interest, for its own benefit, and whether it is fair and reasonable to Theatre 831; the majority of disinterested members of the Board or Committee then in office may approve the transaction. If the transaction does not involve a director with a material financial interest, the transaction can be approved by the Board or Committee by majority vote of those present at a meeting for which quorum requirements have been met.Each director, corporate officer, and key employees of Theatre 831, and others that Theatre 831 may identify, shall annually sign a statement, that: 1) affirms that the person has received a copy of the conflict of interest policy, has read and understood the policy, and has agreed to comply with the policy; and 2) discloses the person's financial interests and family relationships that could give rise to conflicts of interest. To ensure that Theatre 831 operates in a manner consistent with its charitable purposes and its status as an organization exempt from federal income tax, the Board shall authorize and oversee an annual review of the administration of this conflict of interest policy. The review may be written or oral. The review shall consider the level of compliance with the policy, the continuing suitability of the policy, and whether the policy should be modified and improved.
