Governance Explanations

Form 990, Part VI, Section A, line 1A

The Executive Committee consists of the following elected officers: the Chair of the Board, the Vice-Chair of the Board, and the Outgoing Chair, if any. In addition, the Chair of the Board shall appoint at least one, but up to two, additional Board members to serve as members of the Executive Committee. The Executive Committee during the interim between regular or special meetings of the Board has the authority to do all things necessary for the conduct of corporate affairs, except as prohibited by law (Section 21-1985, Neb. Rev. Stat., as amended from time to time), and except as otherwise directed by the Board of Directors. Such authority shall, unless otherwise directed by the Board, include, but not be limited to, personnel and compensation decisions, removal or suspension of officers with advice of counsel, emergency budget changes or other acts the Executive Committee determines, with advice of counsel, to be inadvisable to wait for a special or regular meeting of the Board. The Executive Committee shall review the performance and set the salary of the President on an annual basis. Committees are currently prohibited by law from authorizing distributions; approving the dissolution, merger or the sale, pledge, or transfer of all or substantially all of the Corporation's assets; electing, appoint or removing directors or filling vacancies on the Board or a committee; and adopting, amending or repealing the articles or bylaws.

The Chair of Tabitha Foundation, a related organization, and the Bishop of the Nebraska Synod of the Evangelical Lutheran Church in America shall be an ex-officio member of the Board of Directors with voice and vote.

The Form 990 is provided to the Board of Directors before filing with the IRS. The President & CEO, CFO and Director of Finance review the Form 990.

Form 990, Part VI, Section B, line 12C

Each officer, director and committee member shall file annually with the Secretary/Treasurer a conflict of interest statement and disclosure statement in a form adopted by the Board, which statement shall become a part of the records of the Corporation. The statement affirms each person a) has received a copy of the conflict of interest policy; b) has read and understands the policy; c) has agreed to comply with the policy; d) understands the Organization is charitable and must engage primarily in activities which accomplish one of more of its tax-exempt purposes to maintain its federal tax exemption. Each person who files shall notify the Secretary/Treasurer of any pertinent changes in the statement during the course of the year. In the event a question comes before the Board or a standing or special committee in which a director or committee member has a recorded or unrecorded conflict, the director or committee member shall state the existence and nature of the conflict for the record and shall refrain from voting.

The Executive Committee and Board of Directors annually reviews the salary, benefits, and severance package for the President & CEO. The President & CEO's compensation must meet the Fair Market Value and Comparability Tests for similar positions in other comparable nonprofit organizations. The Tabitha Nursing and Rehabilitation Center (TNRC) has 197 beds, Tabitha at Williamsburg has 50 beds, and Tabitha in Crete (TIC) has 38 beds. The facilities provide skilled nursing care with rehabilitation programs, including physical, occupational, and speech therapy. In addition, spiritual counseling, social workers, coordinated activities, and continual health planning are provided at no additional cost. TNRC also operates units that provide memory care and hospice inpatient services.
