Form 990, Part VI, Section B, line 12C

It is the responsibility of each director, officer, employee, and member of a committee with board-delegated powers to discharge his or her duties as a director, officer, employee, or committee member in good faith, in a manner the person reasonably believes to be in the best interests of Roots for the Home Team, and with the care an ordinarily prudent person in a like position would exercise under similar circumstances. Duty to Disclose In connection with any actual or possible conflicts of interest, an Interested Person must disclose the existence and nature of his or her Financial Interest or Fiduciary Responsibility and all material facts to the directors and members of committees with board-delegated powers considering the proposed transaction or arrangements. If an employee, the disclosure can be made to the employee's supervisor, who will communicate the disclosure to the directors and members of committees with board-delegated powers considering the proposed transaction or arrangements. Such disclosure shall be made as soon as the conflict of interest is known to the Interested Person. Determining Whether a Conflict of Interest Exists After disclosure of the Financial Interest or Fiduciary Responsibility and all material facts, and after any discussion with the Interested Person, he or she shall leave the board or committee meeting while the final determination of a conflict of interest is discussed and voted upon. The remaining board or committee members shall decide if a conflict of interest exists. Procedures for Addressing the Conflict of Interest A. An Interested Person may make a factual presentation at the board or committee meeting, but after such presentation, he or she shall leave the meeting during the discussion of, and the vote on, the transaction or arrangement that results in the conflict of interest. An Interested Person shall not actively participate in the discussion of, or vote on, the transaction or arrangement that results in the conflict of interest, either formally at a board or committee meeting or informally through contact with individual board or committee members. In addition, the Interested Person should not be counted in determining whether a quorum is present for the board or committee meeting at which the transaction or arrangement that results in the conflict of interest is to be voted upon. B. The chair of the board or committee shall, if appropriate, appoint a Disinterested Person or committee to investigate alternatives to the proposed transaction or arrangement. C. After exercising due diligence, the board or committee shall determine whether Roots for the Home Team can obtain a more advantageous transaction or arrangement with reasonable efforts from a person or entity that would not give rise to a conflict of interest. D. If a more advantageous transaction or arrangement is not reasonably attainable under circumstances that would not give rise to a conflict of interest, the board or committee shall determine by a majority vote (or other voting requirement, as provided in the Bylaws of Roots for the Home Team) of the disinterested directors whether the transaction or arrangement is in Roots for the Home Team's interest, and for its own benefit and whether the transaction is fair and reasonable to Roots for the Home Team, and shall make its decision as to whether to enter into the transaction or arrangement in conformity with such determination. E. Interested Persons who have an actual or potential conflict of interest with respect to a Financial Interest or Fiduciary Responsibility that is not the subject of board or committee action shall refrain from any action that may affect Roots for the Home Team's participation in the transaction or arrangement that results in the conflict of interest. In the event it is not entirely clear that a conflict of interest exists, the individual with the potential conflict shall disclose the circumstances to the Chair or the Chair's designee, who

IRS990/Desc0Roots for the Home Team is an innovative, youth driven leadership and entrepreneurial program that's mission is to nourish young people's appetites to discover new possibilities and pathways for success through unique opportunities. We partner with local youth garden programs, buy produce the teens grow as ingredients, partner the teens with local chefs to create innovative salad recipes, and employ the youth to run a food business at MLB games. Over our past eight years, Roots has grown to be significantly more than a salad enterprise. Through these challenging experiences and our new University of Minnesota-created leadership curriculum, teen participants gain valuable business and entrepreneurial skills, learn more about who they are and what they care about, then, because of that, discover new possibilities in their lives and begin steps toward achieving their growing aspirations. They learn new strategies and understand what tools to use to help them gain growth opportunities for themselves and forge new pathways that can propel them toward successful futures. Roots for the Home Team uniquely prepares diverse youth for their futures, the future of the communities they live in and all our futures. We equip youth for their futures by challenging them to think creatively as they develop their salad recipes and selling strategies; work as a team at the cart; solve problems while they run their business at each game; learn more about who they are based on their leadership style and strengths, explore what matters to them and what they are willing to struggle for to gain the life they want. Roots sets the stage to help youth feel empowered while coaching them to fall forward to carve their path toward the future they dream of. Through Roots we grow future employees, business owners, thought leaders & socially conscious people who will contribute to a better "world." In 2019 we employed 49 youth participants in 1,700 hours of work/curriculum. In addition, 30 teens participated in intensive programming. We welcomed a new garden partner and their young people - Pillsbury United Waite House. Eight new recipes were created by the youth. More than 1,800 salads were sold. For demographics, 46% of our participants are Black, 24% Latino, 18% Hmong, 6% Somali, and 6% Caucasian.

IRS990ScheduleO/SupplementalInformationDetail/ExplanationTxt4It is the responsibility of each director, officer, employee, and member of a committee with board-delegated powers to discharge his or her duties as a director, officer, employee, or committee member in good faith, in a manner the person reasonably believes to be in the best interests of Roots for the Home Team, and with the care an ordinarily prudent person in a like position would exercise under similar circumstances. Duty to Disclose In connection with any actual or possible conflicts of interest, an Interested Person must disclose the existence and nature of his or her Financial Interest or Fiduciary Responsibility and all material facts to the directors and members of committees with board-delegated powers considering the proposed transaction or arrangements. If an employee, the disclosure can be made to the employee's supervisor, who will communicate the disclosure to the directors and members of committees with board-delegated powers considering the proposed transaction or arrangements. Such disclosure shall be made as soon as the conflict of interest is known to the Interested Person. Determining Whether a Conflict of Interest Exists After disclosure of the Financial Interest or Fiduciary Responsibility and all material facts, and after any discussion with the Interested Person, he or she shall leave the board or committee meeting while the final determination of a conflict of interest is discussed and voted upon. The remaining board or committee members shall decide if a conflict of interest exists. Procedures for Addressing the Conflict of Interest A. An Interested Person may make a factual presentation at the board or committee meeting, but after such presentation, he or she shall leave the meeting during the discussion of, and the vote on, the transaction or arrangement that results in the conflict of interest. An Interested Person shall not actively participate in the discussion of, or vote on, the transaction or arrangement that results in the conflict of interest, either formally at a board or committee meeting or informally through contact with individual board or committee members. In addition, the Interested Person should not be counted in determining whether a quorum is present for the board or committee meeting at which the transaction or arrangement that results in the conflict of interest is to be voted upon. B. The chair of the board or committee shall, if appropriate, appoint a Disinterested Person or committee to investigate alternatives to the proposed transaction or arrangement. C. After exercising due diligence, the board or committee shall determine whether Roots for the Home Team can obtain a more advantageous transaction or arrangement with reasonable efforts from a person or entity that would not give rise to a conflict of interest. D. If a more advantageous transaction or arrangement is not reasonably attainable under circumstances that would not give rise to a conflict of interest, the board or committee shall determine by a majority vote (or other voting requirement, as provided in the Bylaws of Roots for the Home Team) of the disinterested directors whether the transaction or arrangement is in Roots for the Home Team's interest, and for its own benefit and whether the transaction is fair and reasonable to Roots for the Home Team, and shall make its decision as to whether to enter into the transaction or arrangement in conformity with such determination. E. Interested Persons who have an actual or potential conflict of interest with respect to a Financial Interest or Fiduciary Responsibility that is not the subject of board or committee action shall refrain from any action that may affect Roots for the Home Team's participation in the transaction or arrangement that results in the conflict of interest. In the event it is not entirely clear that a conflict of interest exists, the individual with the potential conflict shall disclose the circumstances to the Chair or the Chair's designee, who
