To improve the overall quality of life for individuals in NYS with a focus on individuals with behavioral and/or developmental disabilities.

Cbhs maximizes the intellectual capacity and resources of its members in order to meet the challenges of a rapidly changing health care system. Cbhs is developing business initiatives to successfully integrate and manage care, and provide the cost effective outcome-based services required for the future.

Governance Explanations

Form 990, Part VI, Section A, Line 4

The organization amended its bylaws in 2018, the following significant changes were made: -section 2.2 qualification. Removes requirement for supermajority of board to approve new members. -3.4 removal. Removes "class a" from director. Adds stipulation that if a member resigns, that member's appointed directors will automatically be removed from the board and any committee or officer positions.

Form 990, Part VI, Section A, Line 6

The corporation shall have members (all such members, collectively, "members"), as follows: all members shall be considered "class a members" unless otherwise determined by a supermajority of the board. The board may by resolution approve the admission of "class b members," which class b members shall have such rights and obligations as determined by a supermajority of the board (each such class of membership, a "class").

Form 990, Part VI, Section A, Line 7A

Each class a member shall appoint an individual to serve as a director (each, a "principal director"), which individual shall be related to the class a member by employment or service on the board of directors of that class a member. Such principal directors shall be deemed elected by the members and shall serve in accordance with the terms of the bylaws. In addition to the principal director, each class a member shall appoint: (i) a first alternate director (a "first alternate director") to vote in the absence of the principal director appointed by that class a member and (ii) a second alternate director (a "second alternate director, and collectively with a first alternate director, an alternate director") to vote in the absence of both the principal director and first alternate director appointed by that member. Alternate directors shall be permitted to attend meetings of the board of directors even if the principal directors are present at such meetings, provided that no alternate director shall have a right to vote except as follows: (a) the first alternate director shall be entitled to vote in the absence of the principal director who represents the class a member, and (b) the second alternate director shall be entitled to vote in the absence of both the principal director and the first alternate director who represent the class a member. The principal directors and the alternate directors are sometimes referred to herein collectively as "directors".

Form 990, Part VI, Section A, Line 7B

Each member shall be entitled to one vote on each matter submitted to a vote of the members, or in the instance of a matter submitted to a vote of the members of a particular class, one vote on each matter submitted to a vote of the members of the applicable class of the member. Notwithstanding the foregoing, during any period of notice of termination or resignation of a member, that member shall not be entitled to vote on any matters on which it would otherwise be entitled to vote; provided that, to the extent the member is required to pay any further fees or expenses during such notice period, the member shall be entitled to vote on any action that subjects that member to such fees and expenses.

Form 990, Part VI, Section B, Line 11B

Cbhs inc. Has its form 990 prepared by an outside accounting firm and has established the following review process to ensure that the information reported is complete and accurate. After the form 990 has been prepared, it is reviewed by the co-chairs and treasurer of the board, members of the finance committee, and the interim executive director. Once ready for filing, the form 990 is electronically sent to the board of directors for review and commenting. All questions and comments are addressed and the return is finalized and approved for filing.

Form 990, Part VI, Section B, Line 12C

Annual written conflict of interest disclosure statement: directors, officers and key employees. All directors, officers and key employees will, at least annually, file a written conflict of interest disclosure statement with the board secretary. The board secretary will provide copies of all completed statements to the chair of the finance and audit committee or the chair of the board. Continuing obligation to update annual written conflict of interest disclosure statement: directors, officers and key employees. Every director, officer and key employee has an affirmative obligation to update his or her annual written conflict of interest disclosure statement whenever there are new or changed facts or circumstances that create a disclosable conflict of interest. All such statements are to be filed with the board secretary. The board secretary will provide copies of all completed statements to the chair of the finance and audit committee or the chair of the board. Related party transactions: a. Cbhs may not enter into a related party transaction unless the transaction is determined to be fair, reasonable and in cbhs's best interest at the time of the determination; b. In considering the related party transaction, the finance and audit committee or the independent directors on the board shall ensure that any director, officer, key employee and employee who has an interest in the related party transaction has disclosed in good faith all material facts concerning such interest; and c. No related party may participate in the deliberations or voting relating to any related party transaction. However, the finance and audit committee or the independent directors on the board may request that a related party present information concerning a related party transaction at a meeting prior to the commencement of deliberations or voting relating thereto.
