THE FORM 990 WAS PREPARED BY A NATIONAL ACCOUNTING FIRM IN CONJUNCTION WITH THE ORGANIZATION'S FINANCIAL DEPARTMENT. A COPY OF THE DRAFT FORM 990 was reviewed by the audit committee and then FORWARDED TO EACH MEMBER OF THE BOARD OF DIRECTORS FOR DISCUSSION AND COMMENT. EACH DIRECTOR WAS PROVIDED AN OPPORTUNITY TO COMMENT ON THE INFORMATION CONTAINED IN THE 990 PRIOR TO ITS FILING WITH THE INTERNAL REVENUE SERVICE.

Form 990, Part VI, Line 12C Conflict of interest policy

This conflicts of interest policy requires all board of directors members, officers, and key employees to annually disclose any potential conflicts of interest with the organization through a questionnaire. These questionnaires are monitored annually and potential conflicts are immediately addressed by the organization. The current year questionnaires have not revealed any conflicts that required action by the alliance. If a conflict does arise, the trustee is asked to withdraw from any discussion or decision-making with respect to the matter in which the conflict of interest arises.

Form 990, Part VI, Line 15A Process to establish compensation of top management official

THE ALLIANCE UTILIZED THE SERVICES OF A PROFESSIONAL EXECUTIVE SEARCH FIRM TO LOCATE THE CURRENT PRESIDENT. SALARY BENCHMARKING WAS PERFORMED BY THE EXECUTIVE SEARCH FIRM, BUT THE FINAL DETERMINATION AS TO THE PRESIDENT'S TOTAL COMPENSATION PACKAGE (INCLUSIVE OF SALARY AND BENEFITS) WAS DETERMINED AND APPROVED BY THE COMPENSATION COMMITTEE UNDER DELEGATED AUTHORITY FROM THE BOARD OF DIRECTORS. THE TERMS OF THE PRESIDENT'S COMPENSATION PACKAGE WERE MEMORIALIZED IN A WRITTEN EMPLOYMENT CONTRACT UPON HIRING. The compensation amount was suggested by outside consultants with consideration of the Alliance size and budget. This compensation was reviewed by the compensation committee and approved by the full board in December 2017.

Salary benchmarking for other officers and key employees is performed by the director of finance and human resources using comparability data. However the final determination as to total compensation is determined and approved by the compensation committee under delegated authority from the board of directors on an annual basis. Schedule D, Part X, Line 2 FIN 48 (ASC 740) footnote

The alliance is an organization exempt from federal income taxation under section 501(c)(3) of the internal revenue code and is classified as a public charity under 509(a)(1) and section 170(b) (1)(a)(vi). The alliance has adopted accounting guidance related to accounting for uncertainty in income taxes. This guidance requires the alliance to recognize a tax benefit only if it is more likely than not the tax position would be sustained in a tax examination, with an examination being presumed to occur. The amount recognized is the largest amount of tax benefit that is greater than 50 percent likely of being realized on examination. For tax positions not meeting the more-likely-than-not test, no tax benefit is recorded. The alliance has examined this issue and has determined there are no material contingent liabilities or questionable tax positions. The alliance does not expect the total amount of unrecognized tax benefits to significantly change in the next 12 months. The alliance recognizes interest and/or penalties related to income tax matters in income tax expense. The alliance did not have any amount accrued for interest and penalties at december 31, 2017 or 2016.

IRS990/Desc0Public Service Excellence Initiatives The Volcker Alliance is conducting a number of initiatives focused on building a highly capable corps of public servants and, simultaneously, relevant research. In 2017, the Volcker Alliance launched Renewing America's Civil Service, a joint initiative with the Partnership for Public Service, to identify tangible legislative and executive branch solutions to overhaul the outdated federal civil service system. Preparing Tomorrow's Public Service is an ongoing research-based initiative focused on spurring educational innovation to meet the challenges of complex governance in the future. The Volcker Alliance also released research papers on the size and composition of the federal government workforce and the current balance of consideration of faculty research, teaching, and service in tenure and promotion practices at schools of public affairs. In November 2017, the Alliance held a daylong symposium in Washington, DC in honor of the 90th birthday of our chairman and founder Paul A. Volcker and his legacy of public service, to discuss the critical governance challenges facing the United States. Financial Regulation Initiatives Building on the successful December 2016 release of the Volcker Alliance's report Unfinished Business: Banking in the Shadows, the Financial Regulation Initiatives team spent 2017 studying the changes being considered in federal financial regulation, particularly those related to the Dodd-Frank Wall Street Reform and Consumer Protection Act . As part of this work, the Volcker Alliance convened private roundtable discussions with leading academics and experts on the future of financial reform, presented the Volcker Alliance's analysis at conferences around the country, and met with policy makers and their staffs to share our analysis. State and Local Initiatives In November 2017, the Volcker Alliance released a report Truth and Integrity in State Budgeting: What is the Reality? examining and grading the budgeting and transparency practices of all fifty US states, in order to highlight states with the most effective procedures and those that fall short, while outlining best practices in each assessment category. The result of a multi-year study conducted in partnership with more than fifty professors and graduate students in public finance and budgeting at eleven US schools of public administration or policy, the study assesses the quality of states' budgeting practices, including public worker retirement funding and disclosure of budgetary and other critical fiscal data. The results and recommendations reported were presented and discussed in conferences and other settings.
