To ensure that Beyond Shelter operates in a manner consistent with its charitable purpose and that it does not engage in activities that could jeopardize its status as an organization exempt from federal income tax, annual statements and periodic reviews are conducted. All directors, officers, employees, agents, or contractors, or any person with powers derived from the Board of Directors are covered by the conflict of interest policy. The Chief Operating Officer (COO) reviews the annual disclosures. If it is determined that a potential conflict of interest exists, there is disclosure and discussion with the interested person. Afterward, the interested person shall leave the board or committee meeting while the remaining board or committee members decide if a conflict exists. If a conflict exists, the interested person may make a presentation to the board or committee regarding the transaction or arrangement. After exercising due diligence, the board or committee shall determine whether the Corporation can obtain a more advantageous transaction or arrangement from a person or entity that would not give rise to a conflict of interest. If a more advantageous transaction or arrangement is not reasonably attainable, the board or committee shall determine by majority vote of the disinterested directors whether the transaction or arrangement is in the Corporation's best interest.

Form 990, Part VI, Section B, line 15

Beyond Shelter, Inc (BSI) formed a Compensation Committee in 2009. During 2010, BSI hired an independent consultant to collect market comparables and assist the committee in developing a compensation system suitable to BSI. The committee then reviewed all staff compensation, established new compensation procedures and made recommendations to the board. In 2010, the BSI board adopted a new personnel handbook. In January 2011, staff compensation was adjusted based on the findings of the compensation review. Per BSI Conflict of Interest Policy, BSI shall endeavor to ensure that all compensation arrangements affecting interested persons are objectively reasonable, based on the relevant market for persons of comparable skills, training, education and experience, performing similar duties for comparable organizations under similar conditions and circumstances. The corporation shall consider and give due weight to studies published by third parties regarding rates of compensation whenever and, to the extent that, such studies are reliable, comparable and available. Form 990, Part VI, Section B, Line 16B: Joint Venture Policies All joint ventures in which the Organization participates are governed by Operating Agreements or Limited Partnership Agreements that restrict those entities to purposes that conform to those of an organization operated exclusively for charitable purposes within the meaning of Section 501(c)(3) of the Internal Revenue Service Code as amended from time to time.

Financial Statement Notes

Part IV, Line 2B:

Patterson Heights, LLC, a disregarded entity, holds security deposit funds. The security deposits are included in cash and accounts payable in the financial statements. Security deposits totaled $17,689 at December 31, 2013.

Part X, Line 2:

The Organization is organized as a North Dakota nonprofit corporation and has been recognized by the Internal Revenue Service (IRS) as exempt from federal income taxes under Section 501(a) of the Internal Revenue Code as organizations described in Section 501(c)(3). The Organization is annually required to file a Return of Organization Exempt from Income Tax (Form 990) with the IRS. In addition, the Organization is subject to income tax on net income that is derived from business activities that are unrelated to their exempt purpose. The Organization believes that it has appropriate support for any tax positions taken affecting its annual filing requirements, and as such, does not have any uncertain tax positions that are material to the financial statements. The entities would recognize future accrued interest and penalties related to unrecognized tax benefits and liabilities in income tax expense if such interest and penalties are incurred.

In addition, the Organization is subject to income tax on net income that is derived from business activities that are unrelated to their exempt purpose. The Organization believes that it has appropriate support for any tax positions taken affecting its annual filing requirements, and as such, does not have any uncertain tax positions that are material to the financial statements. The entities would recognize future accrued interest and penalties related to unrecognized tax benefits and liabilities in income tax expense if such interest and penalties are incurred.
