Tenth Amendment to the Beyond Shelter, Inc., Bylaws Article IV. amended and adopted October 15, 2014 Article IV. Board of Directors SECTION 2. Number and Tenure. The directors as a body shall be self-perpetuating. The number of Directors shall be no greater than twelve (12) nor fewer than six (6). At any time, no more than one-third of the board members may be appointed or elected from the ranks of the Board of Commissioners of the Fargo Housing and Redevelopment Authority, a State or local government. The board members appointed by the State or Local government may not, in turn, appoint the remaining two-thirds of the board members. At least one-third of the board members shall be residents of low-income neighborhoods, be a low-income resident of Fargo, or be elected representatives of low-income neighborhood organizations. The term of each director shall be for three (3) years from the date of appointment or until such time as his or her successor shall have been elected and qualified. Each Director may serve multiple terms if re-appointed by a majority vote of the Board of Directors. Vacated Director positions will be elected by a majority vote of the Board of Directors of Beyond Shelter, Inc.

Form 990, Part VI, Section B, line 12C

To ensure that Beyond Shelter operates in a manner consistent with its charitable purpose and that it does not engage in activities that could jeopardize its status as an organization exempt from federal income tax, annual statements and periodic reviews are conducted. All directors, officers, employees, agents, or contractors, or any person with powers derived from the Board of Directors are covered by the conflict of interest policy. The Chief Executive Officer (CEO) reviews the annual disclosures. If it is determined that a potential conflict of interest exists, there is disclosure and discussion with the interested person. Afterward, the interested person shall leave the board or committee meeting while the remaining board or committee members decide if a conflict exists. If a conflict exists, the interested person may make a presentation to the board or committee regarding the transaction or arrangement. After exercising due diligence, the board or committee shall determine whether the Corporation can obtain a more advantageous transaction or arrangement from a person or entity that would not give rise to a conflict of interest. If a more advantageous transaction or arrangement is not reasonably attainable, the board or committee shall determine by majority vote of the disinterested directors whether the transaction or arrangement is in the Corporation's best interest.

Beyond Shelter, Inc. (BSI) hired an independent compensation consultant to collect comparability data to establish the compensation for the organization's Chief Executive Officer. The BSI Board of Directors then based its decision on the comparability data obtained before the compensation was approved and documented the decision-making process concurrently with the approval. Form 990, Part VI, Section B, Line 16b: Joint Venture Policies All joint ventures in which the Organization participates are governed by Operating Agreements or Limited Partnership Agreements that restrict those entities to purposes that conform to those of an organization operated exclusively for charitable purposes within the meaning of Section 501(c)(3) of the Internal Revenue Service Code as amended from time to time.

Financial Statement Notes

Part IV, Line 2B:

Patterson Heights, LLC, and North Sky I, LLC, both disregarded entities, hold security deposit funds. The security deposits are included in cash and accounts payable in the financial statements. Security deposits totaled $21,326 at December 31, 2014.

Part X, Line 2:

The Organization is organized as a North Dakota nonprofit corporation and has been recognized by the Internal Revenue Service (IRS) as exempt from federal income taxes under Section 501(a) of the Internal Revenue Code as organizations described in Section 501(c)(3). The Organization is annually required to file a Return of Organization Exempt from Income Tax (Form 990) with the IRS. In addition, the Organization is subject to income tax on net income that is derived from business activities that are unrelated to their exempt purpose. The Organization believes that it has appropriate support for any tax positions taken affecting its annual filing requirements, and as such, does not have any uncertain tax positions that are material to the financial statements. The entities would recognize future accrued interest and penalties related to unrecognized tax benefits and liabilities in income tax expense if such interest and penalties are incurred.
