Four oaks family and children's services is the sole member of the organization.

Form 990, Part VI, Section A, Line 7A

Jane boyd has an affiliate agreement with four oaks entitling four oaks to nominate two (2) voting members of the jane boyd board of directors. The appointed representatives are selected by four oaks from the membership of four oaks' board of directors and are subject to the approval of the jane boyd board of directors. The jane boyd board of directors elects all other directors. However, the bylaws provide that two to six (2-6) directors must be members of the four oaks board of directors.

Form 990, Part VI, Section A, Line 7B

Four oaks family and children's services, the sole member, has the authority to remove board members. The sole member also has authority with regard to approval of certain board actions specified in the organizing documents.

Form 990, Part VI, Section B, Line 11B

The outside tax preparer reviews the form 990 with the jane boyd executive director, top financial official, and executive committee of the board of directors. All questions and concerns are addressed to full satisfaction before becoming final. The final form 990 is provided to the full board prior to filing with the irs.

Form 990, Part VI, Section B, Line 12C

The organization requires all officers, directors, and employees to sign a conflict of interest statement annually as well as report any duality of interest as soon as the interest occurs. When hiring independent contractors for major projects, the organization sends requests for proposal ("rfps.") for major recurring service contracts, rfps are done every 3-5 years or market rates are reviewed by management to ensure that the terms for renewing the contract are still at competitive market rates. Throughout the process, any interested board members and/or committee members must abstain from the discussion and the selection of a contractor. Where major conflicts exists, the board member will either resign as a board member or withdraw his/her firm from consideration for the contract. As an additional safeguard, management reviews vendor lists and board member lists annually.

Anne gruenewald, president/ceo, and tami gillmore, top financial official are compensated by four oaks family & children's services, a related tax-exempt entity that is the sole member of jane boyd. Megan isenberg, executive director, is compensated by jane boyd, however her compensation is established by four oaks. In setting executive compensation, four oaks utilizes a compensation setting committee, an industry salary survey, and a market review and compensation comparison obtained every three years from an independent accounting firm. Four oaks retains documentation with regard to criteria used to arrive at compensation for officers. Ms. Gruenewald, and ms. Gillmore do not receive additional compensation for the services they provide to jane boyd. Other officers and directors serving on the jane boyd board are uncompensated volunteers.

Compensation reported for james a. The remaining $66,636 represents a payout of deferred compensation he earned in prior years while serving as the president/ceo of four oaks.

PART V, LINE 4:

$200,000 was approved by the board february, 2017 and expended to pay back amounts due to four oaks family and children's services, a related tax-exempt entity that is the sole member of jane boyd community house. The organization has not set a formal spending policy. The organization may take distributions from the endowment account in the future following additional formal board action and approval of such distributions.

PART X, LINE 2:

The internal revenue service has recognized the organization as exempt from federal income taxes under provisions of section 501(c)(3) of the internal revenue code of 1954. The organization has reviewed its tax positions for all open tax years and has concluded the organization had taken no uncertain tax positions that require adjustments to the financial statements. The organization is no longer subject to examinations for the years before june 30, 2015.
