Governance Explanations

Form 990, Part VI, Section A, Line 1A

Executive board is a subset of members of the full board of directors made up of the president. Vice president, treasurer, secretary, immediate past president, executive director and two members at large. During intervals between regular board meetings, the executive committee possesses and may exercise all the powers of the board in the management and direction of the affairs of the organization in all cases in which specific directions have not been given by the board. All actions of the executive committee shall be reported to the board at its next regularly scheduled meeting and are subject to revision and alteration by the board.

Form 990, Part VI, Section A, Line 2

There are numerous business relationships between board members since the board consists of both builders and suppliers in the construction industry. For example, lyman lumber (represented on the board) has numerous individuals on the board who are customers of lyman. We don't have knowledge of all the business relationships that may exist and they are also frequently changing.

Form 990, Part VI, Section A, Line 2

James julkowski and rachel julkowski are spouses.

Form 990, Part VI, Section A, Line 6

The sole member of the corporation shall be the builders association of the twin cities (housing first minnesota).

Form 990, Part VI, Section A, Line 7A

There is only one member of the organization. That member shall have voting rights, which entitle the member to remove directors and officers of the organization and to vote on all other matters which require approval of the member.

Form 990, Part VI, Section B, Line 11B

Completed form 990 is provided to full board of directors at their regularly scheduled meeting.

Form 990, Part VI, Section B, Line 12C

All officers, board and committee members shall forward their completed and signed conflict of interest and disclosure statements to the executive director who shall prepare disclosure summaries for the president. As events warrant, and to the extent possible, the president shall disclose apparent reported conflicts to the executive board or the board of directors. In connection with any actual or possible conflicts of interest, an interested person must disclose the existence of his or her conflict of interest and must be given the opportunity to disclose all material facts to the directors and members of committees with board delegated powers considering the proposed transaction or arrangement. After disclosure of the financial interest and all material facts, and after any discussion with the interested person, he/she shall leave the board or committee meeting while the determination of a conflict of interest is discussed and voted upon. The remaining board or committee members shall decide if a conflict of interest exists. The minutes of the board and all committees shall contain - -the names of the persons who disclosed or otherwise were found to have a potential conflict of interest, the nature of the conflict, and action taken to determine whether a conflict of interest was present, and the board's or committee's decision as to whether a conflict of interest in fact existed. -the names of the persons who were present for discussions and votes relating to the transaction or arrangement, the content of the discussion, including any alternatives to the proposed transaction or arrangement, and a record of any votes taken in connection therewith.

Form 990, Part VI, Section B, Line 15A

Executive director compensation is determined by executive director of housing first minnesota utilizing msae, asae, mcn published salary data, documented in a written review. No other officers receive compensation. The process described here was last completed in 2023.

Form 990, Part VI, Section C, Line 19

The organization's governing documents, conflict of interest policy, and audited financial statements are available upon request.
