Governance Explanations

Form 990, Part VI, Section A, Line 3

A related entity employs the executive director for the foundation. The foundation relies on the related entity for management services.

Form 990, Part VI, Section A, Line 4

The foundation updated their articles of incorporation and bylaws during the year. They were updated for currently accepted language. In addition, board appointments were updated to show that the the foundation appoints 8 of 17 board members and the sole member, batc, appoints 9 of the 17 members. The final change was to state that all changes to the bylaw require a majority vote of the board, rather than a 2/3 vote.

Form 990, Part VI, Section A, Line 7A

There is only one member of the organization. That member shall have voting rights, which entitle the member to remove directors and officers of the organization and to vote on all other matters which require approval of the member.

Form 990, Part VI, Section B, Line 11B

The form 990 is reviewed and approved by the board of directors at the first meeting after the form is available.

Form 990, Part VI, Section B, Line 12C

Board members are asked to sign a statement annually. When a conflict arises, they are asked to recuse themselves of any vote. Minutes document any recusal by a board member.

Form 990, Part VI, Section B, Line 15A

Compensation for the executive director is set by the executive board compensation committee. The committee uses msae compensation and benefits and asae data and maintains written review. This process was last undertaken in 2017.

Form 990, Part VI, Section C, Line 19

The organization's governing documents, conflict of interest policy, and financial statements are available upon request.
