The finance committee and board review the full form 990 before it is filed with the irs. They have an opportunity to ask questions before approving.

Form 990, Part VI, Section B, Line 12C

When a conflict of interest or the appearance of a conflict of interest occurs, indiviudal board and board committee members will: 1. Disclose the possible conflict of interest to the board of memebrs 2. Withdraw form discussions about a conflict of interest 3. Abstain from voting about (board) or reccomending (board committee) a conflict of interest issue 4. Determine the possible conflict of interest with the board and determine steps to deal with the conflict. The board of directors will: a. Give feedback to the individual board/board committee member about the possible conflict of interest b. Decide if any steps are needed by the board of directors as a whole. The board as a whole, will determine whether a conflict of interest or the appearance of a conflict of interest exists.

The board of directors negotiated compensation with the executive director taking her education and experiences into consideration. Reach-up's wage scale was also utilized in determining the executive director's compensation. A letter from reach-up's board of directors to the executive director is in the personnel file documenting the annual salary and benefits. The process was last completed in 2024.

Financial Statement Notes

PART X, LINE 2:

The organization has received a ruling from the internal revenue service to be recognized as a not-for-profit organization under section 501(c)(3) of the internal revenue code and is not a private foundation under code section 509(a)(1). Therefore, the organization is not subject to income tax. The organizations policy is to evaluate the likelihood that its uncertain tax positions will prevail upon examination based on the extent to which those positions have substantial support within the internal revenue code and regulations, revenue rulings, court decisions, and other evidence. It is the opinion of management that the organization have no significant uncertain tax positions that would be subject to change upon examination. The federal and state income tax returns of the organization are subject to examination by the irs, generally three years after they were filed, all filings are current.

THEREFORE, THE ORGANIZATION IS NOT SUBJECT TO INCOME TAX. THE ORGANIZATIONS POLICY IS TO EVALUATE THE LIKELIHOOD THAT ITS UNCERTAIN TAX POSITIONS WILL PREVAIL UPON EXAMINATION BASED ON THE EXTENT TO WHICH THOSE POSITIONS HAVE SUBSTANTIAL SUPPORT WITHIN THE INTERNAL REVENUE CODE AND REGULATIONS, REVENUE RULINGS, COURT DECISIONS, AND OTHER EVIDENCE. IT IS THE OPINION OF MANAGEMENT THAT THE ORGANIZATION HAVE NO SIGNIFICANT UNCERTAIN TAX POSITIONS THAT WOULD BE SUBJECT TO CHANGE UPON EXAMINATION. THE FEDERAL AND STATE INCOME TAX RETURNS OF THE ORGANIZATION ARE SUBJECT TO EXAMINATION BY THE IRS, GENERALLY THREE YEARS AFTER THEY WERE FILED, ALL FILINGS ARE CURRENT.
