Governance Explanations

Form 990, Part VI, Section B, Line 11

The auditors prepare form 990 and the fiscal manager reviews form 990. A copy of form 990 is emailed to the board officers before the meeting. The board officers can call the auditors or fiscal manager with any questions and will approve the report before it is filed.

Form 990, Part VI, Section B, Line 12C

When a conflict of interest or the appearance of a conflict of interest occurs, individual board and board committee members will 1. Disclose the possible conflict of interest to the board of directors 2. Withdraw from discussions about a conflict of interest issue 3.abstain from voting about (board) or recommending (board committee) a conflict of interest issue. 4. Determine the possible conflict of interest with the board and determine steps to deal with the conflict. The board of directors will a. Give feedback to the individual board/board committee member about the possible conflict of interest b. Decide if any steps are needed by the board of directors as a whole. The board as a whole, will determine whether a conflict of interest or the appearance of a conflict of interest exists.

Form 990, Part VI, Section B, Line 15

Executive director: negotiates with board of directors' chairperson/executive committee. That committee recommends to entire board and policy council for approval vote (federal office must approve hiring, also). Any future salary increases are infrequent and independently determined by the federal head start administrators-increases are termed a cost-of-living adjustment and all employees receive the same percentage increase. The last cost of living adjustment (cola) was 2012. The last comparability study was 2012. Others: negotiation within market wage survey results; then federal cola. After consultation with the executive director, the human resource coordinator enters the rate into the human resources information system. A wage comparability study was completed in june 2012 and after approval by board and policy council, wage adjustments were made in october 2012.

Form 990, Part VI, Section C, Line 19

Governing documents, conflict of interest policy and financial statements are made available upon request.
